' • �, � � .. Charge. The Under Utilization Charge will be billed to Customer's Main Billing Telephone Number which is so designated on Attachment B. In the event actual Ameritech billings to Customer for the Contributory Products is less on an annual basis than the MARC,Customer will be billed a lump sum equal to the difference between Customer's MARC and Customer's actual Ameritech billings("Under Utilization Charge")for Contributory Products. (For purposes of this Agreement,the defmition of each of the Contributory Products is determined by Ameritech.) Actual billings for Contributory Products and the MARC will be compared on an annual basis,and the Under Utilization Charge will be charged to Customer's Main Billing Telephone Number. 4.0 Service Discount Conditions: The Ameritech services listed in the tariff as Discount Eligible Services are Discount Eligible Services only if the service is provided by Ameritech to at least one of the accounts covered under the CompleteLink Plan, and Ameritech bills the Customer for the service on one of the Telephone Accounts ��, designated under Atta.chment B. The amount of discount which will be applied to the Discount Eligible Service is based upon the MARC selected herein by the Customer. The CompleteLink service discount is applied on a state ', specific basis in a manner described in the tariff. Customer's total volume discount under the CompleteLink Plan ' subscribed to under this Agreement shall not exceed the Maximum Annual Discount("MAD")which is specified in the tariff as the MAD associated with the MARC selected by Customer. 5.0 Minimum Annual Toll Usage Commitment(MATLTC)and Reduced Toll Rate: With this subscription to CompleteLink, Customer is entitled to reduced Ameritech intraLATA toll usage rates provided Customer commits hereunder to a MATLTC. The toll rate charged to Customer may change during the term of this Agreement based upon tariff changes.. The reduced toll usage rate is based upon the MATUC selected and indicated by Customer on Attachment A of this Agreement. The ATN for which Customer commits to a MATLTC must be one which is specified under Attachment B. Satisfaction of the MATUC. The MATUC is satisfied by the volume of relevant usage billed by Ameritech on the Customer accounts specified on Attachment B,the usage which is relevant to satisfying the MATLJC is defined in the CompleteLink tariff. In the event Customer's actual billings for the relevant usage is less on an annual basis than Customer's MATLTC,Customer will be billed a lump sum equal to the difference between Customer's MATLTC and Customer's actual relevant usage billings. The comparison between the MATUC and actual billings will occur on the annual anniversary of this Agreement, and the difference billed to the Main Billing Telephone Number at that time. In the event this CompleteLink Plan is terminated for any reason, Customer is no longer eligible for the reduced toll rate. 6.0 CompleteLink Plan Limitations: As further described in the tariff,only the Customer's Business Location(s) (as defined hereinafter)which aze located within Ameritech local exchange tenitory in the states of Illinois, Indiana,Michigan,Ohio and Wisconsin may be specified on Attachment B hereto,and only those specified on Attachment B are included in this CompleteLink Plan. The Ameritech landline accounts which are covered by this CompleteLink Plan(and therefore are eligible for discounts or are eligible to contribute to the satisfaction of Customer's commitments hereunder,whichever applies)must be listed on Attachment B of this Agreement. Customer's subscription to CompleteLink is not a subscription to the Ameritech products which are Discount Eligible Services nor is it a subscription to the products which contribute to the satisfaction of the MARC or MATUC. Customer must separately subscribe to each Ameritech product(under contract or otherwise available), and is separately bound under the terms and conditions of each subscription. "Business Location"for purposes of this Agreement means the "service address" of the local telecommunications service; "service address" is solely determined by Ameritech. Only Ameritech products which are billed in Customer's name by Ameritech aze eligible to receive discounts under the CompleteLink Plan, and only Ameritech billings for Ameritech products contribute to the satisfaction of the MARC or MATUC.The number of Customer Business Locations which may be included in this CompleteLink Plan is limited to 250 Business Locations per state. Customer may only subscribe to one CompleteLink Plan.Certain charges,such as,but not limited to,taxes,EUCL,infrastructure assessment and other federal, state or local mandated chazges do not contribute to the satisfaction of the MARC or MATUC. All applicable tariff limitations for each product and the CompleteLink Plan apply. 03/25/02 Customer Signature .
