' � y +' 4 .. 7.0 90 Day Satisfaction Guarantee: ff the Customer signs a thirty-si�c(36)or sixty(60)month Agreement for the CompleteLink Plan,the Customer is entitled to Ameritech's Satisfaction Guarantee. The Ameritech Satisfaction Guarantee allows the Customer to cancel the Plan for any or no reason without incurring early termination charges within ninety(90)days from the Effective Date of this Agreement. However, if Customer had terminated another Ameritech toll,access or usage term plan to subscribe to this CompleteLink Plan,the Customer is not eligible for this Satisfaction Guarantee. 8.0 Early Termination: Customer's right to the rates and discounts under the CompleteLink tariff and this Agreement are based on Customer's commitment to CompleteLink for the term indicated on Attachment A. In the event Customer terminates this Agreement prior to its term expiration date, Customer shall be liable for an early termination charge,except as provided for elsewhere herein.If the Main Billing Telephone Number for the agreement is in any state other than IL,the termination charge is equal to 50%of the MARC multiplied by the number of years remaining in the customer's term period; for a partial year, if the partial year revenue is less than the MARC,the customer is liable for 50%of the difference between the MARC and the actual billed revenue.If the Main Billing Telephone Number for the agreement is in the state of IL,then the termination liability chazge is equal to the amount of unearned discounts for the 12 months immediately preceding termination.The unearned discounts are calculated by subtracting the discounted charges the customer actually incurred during its term of service from � the charges the customer would have incurred under the longest term plan that the customer would have actually i qualified for based upon the actual term of service,or month-tamonth rates if the customer would not have ' qualified for any term plan. The early termination charge will be billed in a lump sum to Customer's Ameritech � bill for the Main Billing Telephone Number or Customer's fmal Ameritech bill for the Main Billing Telephone Number. 9.0 Conversion to Another Ameritech Plan: As an exception to Section 8.0 above,eazly termination charges will not apply if Customer terminates this CompleteLink Plan in order to subscribe to another Ameritech combined access and usage plan under a contract term which is equal to or greater than the time remaining under this Agreement,and under which Customer's revenue commitment is equal to or greater than the commitment under this Agreement. 10.0 Assignment: Customer shall not assign this Agreement without prior written consent of Ameritech,such consent will not be unreasonably withheld or delayed. 11.0 Liability: The entire liability of Ameritech, if any,for damages to Customer or to any third party,which arises from Ameritech's performance or non-performance under the CompleteLink Plan or this Agreement is limited to an amount equal to a prorata adjustment of the recurring charges which apply to the Ameritech product or any portion of the Ameritech product which was affected by Ameritech's performance or nonperformance hereunder,provided,however,that the Ameritech product is one provided by Ameritech pursuant to the . CompleteLink tariff and this Agreement and not pursuant to another Ameritech tariff or under another agreement with Ameritech. 12.0 Entire Agreement: This Agreement constitutes the entire Agreement between Ameritech and Customer regarding the CompleteLink Plan, and supersedes all prior representations,proposals or understandings,oral or written,express or implied regarding Customer's subscription to CompleteLink. This Agreement may not be amended, superseded or otherwise modified unless in writing and signed by all parties.
