� 5. The parties hereto covenant and warrant that the Employment Agreement, dated September 24, 1999, the amendments thereto, dated November 15, 1999, and this document constitute the entire and complete agreement relating to the Employee's employment with the City, and that there exists no inducement,promise,term,condition or obligation made or entered into by the City or the Employee (related to such subject matter) which is not set forth expressly in said materials. 6. The parties hereto further agree and acknowledge that each has possessed the opportunity to review the terms hereof and retain legal counsel of his or its own choosing. Each party hereto has possessed the opportunity to conduct that investigation into the effects hereof to his or its own satisfaction. Neither party hereto enters into this amendment under any duress,confusion, misunderstanding or misapprehension. The Employment Agreement, dated September 24, 1999, as amended, and as amended hereby, shall not be altered, modified or amended unless such alteration,modification or amendment is reduced to writing and executed by the party to be charged with said alteration, modification or amendment, which provision shall not be subject to waiver. 7. The Employee understands that this Second Amendment to Employment Agreement shall be of no force and effect unless and until the City Council of the City approves the same upon a majority vote of a quorum of the City Council present at a meeting wherein this Second Amendment to Employment Agreement is a subject. IN WITNESS WHEREOF,the parties hereto do hereby execute this Second Amendment to Employment Agreement, consisting of four (4) pages, inclusive of the following page where signatures appear,and seven(7)enumerated sections together with the Recitals set forth on the first page of the Agreement, intending to be fully bound to the terms and provisions hereof. -3-
