' OTp Developer Guide, Edition 2.2
+, ,
 D. ENVIRONMENTAL SITE ASSESSMENT PROTOCOL:
(Version 01/01/02)
1. INSURANCE REQUIREMENTS:
The individual or firm performing the environmental site assessment must have a minimum of$2,000,000 of
professional liability insurance in full force and effect throughout the term of the project. Additional
requirements for insurance, indemnity, and limits of liabiliry are contained in the Agreement for
Environmental Engineering Services available from the Target Site Development Manager.
2. PURPOSE:
This document descibes TargeYs expectations with regard to environmental site assessments performed for
Target in connection with a site acquisition. This protocol exceeds the directives in the cuRent ASTM E1527
Standard Practice for Environmental Site Assessments: Phase I Environmental Site Assessment Process.
Reports submitted to Target that are not performed in accordance with this protocol will not be accepted
for review.
The guidelines set forth in this document are not intended to be all-inclusive, or to serve as a checklist for the
Consultant Taget expects that the Consultant will use the best professional judgment in designing an
assessment checklist for any particular site. IN DOING SO, THE CONSULTANT SHOULD BE GUIDED,
FIRST AND FOREMOST, BY THE PURPOSE OF THE ENVIRONMENTAL SITE ASSESSMENT AS
STATED IN THIS DOCUMENT. The Consuttant should also take into consideration the items typically
included on checklists used by other reputable Consultants performing pre-acquisition environmental site
assessments in the same area. Finally, the Consultant should perform an informal cost/benefit analysis to
determine whether including any given item on the checklist advances the purpose of the investigation to a
degree commensurate with its cost
If, in the ConsultanYs professional judgment, this protocol should be modified for some reason, the
Consultant should discuss the proposed modifications with TargeYs Environmental Real Estate Manager and
obtain prior approval. Any deviations from the standard protocol must be identified in the Phase 1 Report
Consultants retained by Target will be authorized to begin the environmental site assessment by a Task
Release issued by Target
At the direction and under the supervision of legal counsel, Target retains a qualified Consultant to perfomi
an environmental site assessment of every potential store site. The PURPOSE of the environmental site
assessment is:
a. to identify and evaluate the actual and potential environmental risks associated with the site so that
TargeYs legal counsel can properly advise Target regarding any environmental liability associated
with the site; and,
b. to evidence that Target made"all appropriate inquiry" before buying the site so that Target can assert
the"innocent purchaser defense"if contamination is later discovered.
3. PHASING THE ENVIRONMENTAL SITE ASSESSMENT:
Whenever possible, the environmental site assessment should be conducted in phases, as follows:
a. Phase t: The purpose of this investigation is to determine potential environmental risks associated
with a site. A Phase I environmental site assessment shall not be more than six (6) months old and
must include:
1) a review of the environmental history of the site and surrounding properties, including a records
search;
2) a geological, hydrological, topographical and general meteorological assessment;
3) a site inspection; and,
4) data evaluation and preparation of a written report.
A Phase I environmental site assessment does noinvo/ve any sampling or testing of soil, air, water or
building materials. All information should be obtained by means of interviews or data review.
b. Phase II: This investigation is a staged program of sampling and testing and/or subsurface
exploration, the purpose of which is to confirm the presence or absence of a patticular hazardous
substance in a particular location.
Target does not routine/y rquest Phase ll investigations. Target will requesf a Phase ll onty if there is
some specc reason to believe that hazardous substances may be present or fhat the site may have
3.15
EXHIBIT A
