12. REQUIRED CLAUSES <br /> The Contractor shall abide by all of the terms and conditions detailed in the RFP issued for this <br /> work by the City, including the "Required Clauses" contained in Appendix C of the RFP. The <br /> RFP, including these Required Clauses, is incorporated by reference and made a part of this <br /> Agreement. <br /> 13. CONTRACT CHANGES <br /> Any changes to this Agreement, including any changes to the scope of work, schedule, or <br /> increase or decrease in the amount of the Contractor's compensation, which aze mutually agreed <br /> upon between the City and the Contractor sha11 be incorporated in written amendments to this <br /> Agreement. <br /> 14. DELAYS AND EXTENSIONS <br /> The Contractor agrees that no charges or claims for damages shall be made by him/her for any <br /> delays or hindrances from any cause whatsoever during the progress of any portion of the <br /> services specified in this Agreement. Such delays or hindrances, if any, may be compensated for <br /> by an extension of time for such reasonable period as may be mutually agreed upon between the <br /> parties, it being understood, however, that permitting the Contractor to proceed to complete its <br /> services or any part thereof after the date to which the time of completion may have been <br /> extended, shall in no way operate as a waiver on the part of the City of any of its rights herein. <br /> Neither party hereto shall be considered in default in the performance of its obligations <br /> hereunder to the extent that the performance of any obligation is prevented or delayed by any <br /> cause, existing or future, which is beyond the reasonable control of the affected party. <br /> 15. RIGHTS TO AND DISPOSITION OF DATA <br /> All data, written materials, records, computations, photographs, drawings, maps, surveys, survey <br /> information, or other information prepared and furnished by the Contractor pursuant to this <br /> Agreement shall remain the property of the City. <br /> Decatur Public Transit System $ Paratransit Planning Study Agreement <br />
