. <br /> 16. TERMINATION OF AGREEMENT <br /> In the event of the termination of this Agreement by the City for any reason, Contractor shall be <br /> compensated for the work completed in a good and professional manner through the date of the <br /> notification from the City to abandon work. Work completed or partially completed shall <br /> become the property of the City and compensation therefore shall be determined in accordance <br /> with the work performed. Upon termination, the Contractor shall deliver to the City all data, <br /> written materials, maps, surveys, survey information and a11 other documents to be prepared <br /> and/or furnished by the Contractor, pursuant to this Agreement, whether then complete or in <br /> progress. <br /> 17. THE AGREEMENT AND APPENDICES <br /> This Agreement sha11 include the following, which are incorporated herein and made a part <br /> hereo£ <br /> • Appendix A—Scope of Work <br /> • Appendix B—Schedule of Work <br /> • Appendix C—Budget and Hours by Person by Task <br /> • City's Request for Proposals(RFP), Appendix C—Required Clauses (by reference) <br /> • Contractor's Proposal (dated October 11, 2002), E�ibit E — List of Key Personnel (by <br /> reference) <br /> The City and the Contractor shall comply with the terms and provisions set forth in this <br /> Agreement, with said appendices and exhibits. This Agreement, with said appendices and <br /> exhibits, shall constitute the entire Agreement between the City and the Contractor; no terms, <br /> provisions, promises, statements or representations not contained herein shall be binding upon <br /> either party. <br /> Decatur Public Transit System ( Paratransit Planning Study Agreement <br />
