EXHIBIT B <br /> DEFINITIONS <br /> As used in this Agreement, following terms, when capitalized shall have the meaning <br /> indicated: <br /> "ACC"shall mean the Annual Contribution Contract between HUD and the DHA,identified <br /> as No. 1030, and dated March 6, 1996, as amended from time to time. <br /> "Affiliate" means any person or entity that directly or indirectly, through one or more <br /> intermediaries,controls or is controlled by or is under common control with a Party,or with another <br /> designated person or entity as the context may require. For purposes of this definition, control <br /> means the person or entity has the power to direct the management and operation of an entity. <br /> "Affordable"means with respect to any rental or homeownership unit,that the rent or sales <br /> price of such unit is restricted or subsidized with reference to the income of the resident or purchaser. <br /> "Application"has the meaning given in Recital B. <br /> "Architect"means Sherman Carter Barnhart,or such other architects as the Developer shall <br /> select. <br /> "Clean and Buildable Condition"has the meaning given in Section 3.1 with respect to the <br /> City Parcels and Section 4.1 with respect to the DHA Parcels. <br /> "Closing"has the meaning given in Section 6.10. <br /> "Components"or"Phase I Site Components"means the components of the Revitalization <br /> described in Exhibit C,provided however that if the Revitalization Schedule indicates that any of the <br /> Components described in Exhibit C has been divided into two or more development phases,then the <br /> defined term "Component"shall also refer to each such phase as the context shall require. <br /> "Contract Documents"has the meaning given in Section 1.2. <br /> "Contractor" means any independent third party engaged by a Party including any <br /> contractors, professionals, consultants, lawyers or other such parties. <br /> "Construction Budget"means with respect to any Construction Contract a budget for the <br /> work contemplated in such Construction Contract that allocates the cost of such work among <br /> respective trades or items of work. <br /> "Construction Contract" means, as the context shall require, any or all construction <br /> contracts or construction management contracts pursuant to which any General Contractor shall have <br /> been engaged. <br /> "Construction Documents"includes, or incorporates as they come into existence, (a)this <br /> Agreement (including all Recitals and exhibits annexed hereto and made a part hereo fl; (b) <br /> B-1 <br />
