• , <br /> -3- <br /> 3 . Heritage will pay its share of the project which is <br /> $70, 236. <br /> 4 . Heritage will advance the costs of construction. <br /> 5 . The City will pay its portion of the proj ect in two lump- <br /> sum payments, the first being $70, 000 from fiscal year 2002, ' <br /> payable upon the acceptance of the sewer construction project by ' <br /> the City, and the second payment in the amount of $55, 046, payable <br /> no earlier than said acceptance, but forthwith during the 2003 <br /> fiscal year. <br /> 6. The parties agree to perform any further acts and to <br /> execute and deliver any other documents that may be reasonable and <br /> necessary to carry out the provisions in this Agreement. <br /> 7 . The Agreement may be executed in several counterparts and <br /> each, when so executed, shall be deemed to be an original for all <br /> purposes . <br /> 8 . This Agreement embodies the entire agreement of the <br /> parties hereto . There are no promises, terms, conditions, or <br /> obligations relating to the subject matter of this contract except <br /> as stated herein. <br /> 9. This Agreement shall bind and inure to the benefit of the <br /> parties hereto, their respective assigns, successors, and <br /> representatives . <br /> 10 .
