5. C - PerForm reference checks on vendors selected for prequalifying demonstrations, <br /> and notify vendors not selected. <br /> 6. G -Prepare a list of minimum features for vendors to demonstrate. <br /> 7. C - Issue demonstration invitations to vendors, and notify vendors not selected. <br /> 8. G -Prepare task group members for vendors' presentations, facilitate presentations, <br /> and debrief City participants after each presentation. <br /> 9. G -Assess task group evaluations of vendors, make a recommendation on vendors <br /> to invite to respond to a request for proposals (RFP), and submit findings to the <br /> task group. <br /> Request for Proposal Development: <br /> 10. G -Amend the features checklist to incorporate items discovered in vendors' <br /> prequalifying demonstrations, and develop a questionnaire for the RFP that <br /> gives vendors an opportunity to demonstrate an understanding of the City's <br /> requirements. <br /> 11. G -Assemble a draft RFP, incorporating a description of the City's unique <br /> requirements, and review it with task group members. <br /> 12. C - Finalize the RFP, incorporating task group revisions and City "boiler plate" <br /> language on contractual requirements, distribute the RFP, and respond to <br /> vendors' questions. <br /> 13. G -Assist the City in responding to vendors' questions, as needed, during the <br /> proposal preparation process. <br /> The completion of all work included in this contract shall be as outlined in the Consultant's <br /> proposal of September 28, 2001, attached hereto and made a part of this agreement, unless <br /> otherwise expressly agreed to in writing by both parties. <br /> IV. TERMS AND CONDITIONS. <br /> A. This contract shall be governed according to the laws of the State of Illinois. <br /> B. Any Consultant software, equipment or consulting, programming, or management tools <br /> which may be furnished or utilized by Consultant in the performance of these services <br /> shall remain the property of Consultant and shall be immediately returned to Consultant ��I <br /> upon its request or upon completion of the services. I <br /> C. Neither party to this contract shall assign the contract or sublet in whole or in part to a li <br /> third party nor transfer, by operation of law or otherwise, any or all of its rights, !i <br /> responsibilities, duties, commitments, or obligations under the contract, without the I <br /> written consent of the other. <br /> a ', <br />
