• � , <br /> RAW WATER SUPPLY AGREEMENT <br /> THIS AGREEMENT made and entered into as of the 8th day of November, 2001, by and <br /> between the CITY OF DECATUR, an Illinois municipal corporation located in the County of <br /> Macon, Illinois (hereinafter sometimes called the "City") and ARCHER-DANIELS-MIDLAND <br /> COMPANY, a Delaware corporation(hereinafter sometimes called"ADM"), <br /> WITNESSETH: <br /> WHEREAS, the City and ADM have entered into an Agreement ("Acquisition <br /> Agreement") dated January 4, 1999, under which the City will sell and convey to ADM the <br /> City's water intake and treatment facility commonly referred to as the City's "North Plant"; and ;I <br /> WHEREAS, ADM is desirous of purchasing from the City, and the City is willing to sell <br /> to ADM, a raw water supply from Lake Decatur, which the City owns, for all of the North Plant <br /> requirements upon its acquisition by ADM. <br /> NOW, THEREFORE, for and in consideration of the mutual covenants hereinafter <br /> contained, and for other good and valuable consideration, the receipt of which hereby is <br /> acknowledged, the parties hereto agree as follows: <br /> 1. Recitals. The foregoing recitals are accurate and are incorporated as part of this <br /> Agreement. <br /> 2. Raw Water Su�plv. Upon the acquisition of the North Plant by ADM, the City <br /> shall sell to ADM, and ADM shall purchase, all of ADM's raw water supply requirements for the <br /> North Plant. Except as provided in Paragraph 10 herein and Paragraph 8 of the Acquisition <br /> Agreement, upon ADM's acquisition of the North Plant, ADM shall obtain from the North Plant <br /> 1 <br />
