BOX 1068 • DECATUR, IL 62525 •217-423-7788 • FAX: 217-423-4575 <br /> Third Party Administration Services Agreement <br /> This Third Party Administration Services Agreement ("Agreement") is effective the 1 st day of <br /> November 2001, by and between Consociate Group ("Administrator") and the"City of Decatur, <br /> Illinois" ("EMPLOYER") for the benefit of certain employees and their dependents <br /> ("Participants"). <br /> Whereas, "EMPLOYER"provides certain welfare benefits to its eligible"EMPLOYER" <br /> Participants pursuant the Employee Retirement Income Security Act of 1974 (ERISA), as <br /> amended("Plan"); and <br /> Whereas, the Plan is funded with the contributions from"EMPLOYER" and its' Participants; and <br /> Whereas, "EMPLOYER", in its capacity as Plan Sponsor and the named fiduciaries of the Plan <br /> within the meaning of the Employee Retirement Income Security Act of 1974 ("ERISA"), <br /> hereinafter referred to individually and collectively as the "Fiduciary", desires to contract <br /> `"`Administrator""to provide services with respect to the Plan in accordance with the terms and <br /> conditions contained herein; and <br /> Whereas, "EMPLOYER"has requested that the"Administrator"perform the services which are <br /> specified in the Agreement and the "Administrator"has agreed to perform said services and act as <br /> Fiduciary upon the terms and conditions hereinafter set forth. <br /> Now, Therefore, in consideration of the mutual promises and covenants contained herein, <br /> "EMPLOYER"and"Administrator"mutually covenant and agree to enter into this Agreement to <br /> specify the terms of their relationship and each party's respective rights and obligations as set <br /> forth below: <br /> SECTION I <br /> 1.1 "Agreement Period"means that period of one (1)year which begins on the effective date <br /> of this contract and continues through expiration or ternunation of the Agreement <br /> pursuant to section VI of the Agreement. <br /> 1.02 `Benefit Period" means that period of twelve (12) consecutive months for purposes of the <br /> Plan deductible and other benefit year limits or ma�mums. <br /> 1.03 "Claims Account"means any checking account, reserve or fund established or authorized <br /> by"EMPLOYER" for the purpose of paying benefits under the Plan. At all times the <br /> Claims Account shall be in the name of`BMPLOYER". <br /> I <br />
