1.04 "Administrator"means Consociate Group (including all authorized representatives of <br /> Consociate Group), an independent contractor appointed by"EMPLOYER"to perform <br /> claims and plan"Administrator" services pursuant to this Agreement with respect to the <br /> Plan. <br /> 1.05 "Dependent"means any individual considered a dependent of a"EMPLOYER"Employee. <br /> 1.06 "Employee"means any individual considered by the Plan to be a"EMPLOYER" <br /> Employee. <br /> 1.07 "Emplo,�means any"EMPLOYER"member and any affiliated entity tha.t has adopted <br /> and is named in the Plan and in so doing becomes bound by the terms and conditions of <br /> this Agreement. <br /> 1.08 "Fiduciarv" "Administrator"is not and shall not be deemed to be a fiduciary of the Plan. <br /> Nor shall"Administrator"be considered to be the"Plan"Administrator""for purposes of <br /> ERISA. Rather,the duties of"Administrator"hereunder are ministerial in nature; and this <br /> Agreement shall not be deemed to confer or delegate any discretionary authority or <br /> discretionary responsibility in the administration of the Plan. <br /> 1.09 "Participant"means any Employee or Dependent who is eligible to participate in the Plan <br /> pursuant to the terms of the Plan or any insurance policy(ies), contract(s) or <br /> administrative service agreement(s) constituting the Plan. Such term also includes any <br /> "Qualified Beneficiaxy"as defined by reference to Irc 4980B (g) (1) if such person elects, <br /> in accordance with Plan provisions,to be covered under the Plan, for so long as such <br /> individual is permitted coverage under the Plan. <br /> 1.10 "Plan"means the"EMPLOYER"Employee Benefit Plan, as may be amended from time <br /> to time and which is available for review in "Employer's main office. <br /> 1.11 "Plan"Administrator""means"EMPLOYER".. <br /> 1.12 "Plan Sponsor"means"EMPLOYER"and is intended to include any successor <br /> "ENIPLOYER". <br /> 2 <br />
