<br /> I I. Year 2000 Comuliance Warrantv: The Grantee makes this"Year?000" warranty for itself
<br /> and its authorized agents:
<br /> 1 I. I The Grantee represents and warrants that: (i) all products delivered under this grant
<br /> agreement (the "Products") are"Year 2000 Compliant," which means that all of the
<br /> technolo�y forming part of, or utilized in, or associated with, the Products(including. •
<br /> but not li►nited to, information technology, embedded systems, or any other electro-
<br /> mechanical or processor-based system), and(ii)the services provided under this grant
<br /> a�reement("Services") are"Year?000 Compliant," which means that all technolo�y
<br /> iised by Grantee and by any of its suppliers, authorized a<,ents, service providers or
<br /> business partners in providin`; the Services, or in facifitating the provision of the
<br /> Services (incl«din�, but not limited to, information technolo�y, embedded systems,
<br /> or anv other electro-i��echanical or processor-based system) will accurately receive,
<br /> retrieve, process, provide and output date/time data from, in and between the
<br /> tw•entieth and twentv-tirst centuries, and from, in and between the years 1999 and
<br /> ?000
<br /> I I .�' The Deparcment ���ay, at any time. require Grantee to demonstrate and give assurance
<br /> tl�at it I�as adopted and implemented procedures necessan.�tc�ensure that the Products
<br /> and Services comply with thi; 1'ear ?000 �L'arrann•
<br /> I I.� The Grantee�s �varrann� is separate and distinct t�om anv �,ther ���arranty specified in
<br /> this �,rant a`,reement. and is not subject to any disclaimer ofwarranty or limitation of
<br /> Grantee's liabilitv�vhich is specitied in this grant a,7reement, its exhibits, attachments,
<br /> schedules, or any document incorporated in this contract by reference. Nothing in this
<br /> Year?000 warranty shall be construed to limit any ri`;hts or remedies, ��hether in law
<br /> ur in equity, which the Department othenvise has or may have under this grant
<br /> a�reement.
<br /> I I -� The Grantee shall not be e�cused from performin� of a "Y2K" problem with any of
<br /> the Grantee's equipment, hard�vare, tirm�vare or sottw�are or that of any of Grantee's
<br /> authorized auents.
<br /> I I � (n the event of a breach of this Y'ear 2000 warranty, the Grantee shall, at it sole
<br /> expense and without interruptins� ongoing business of the Department, immediately
<br /> take all necessarv actions to cure the breach. In the event that the Grantee fails to cure
<br /> � such breach, the Department shall be entitled to seek any and all remedies available '
<br /> to it under this �,rant a�,reement in law or in equitv
