6. An initial retainer fee of N/A shall be required at the time of acceptance of this contract before work will proceed. This retainer fee will be deducted from the final invoice of this contract. 7. In the event of an extension of this contract beyond September 21, 2001, or a change in the scope of services from that defined in this proposal, HNTB reserves the right to re-negotiate this contract. This proposal shall be revoked if acceptance is not received within 90 days of the date hereof. 8. Original drawings and other documents, as instruments of service, are the �� property of HNTB, whether the project for which they are made is completed or not. They are not to be used by the Client on other projects, or extensions to this t�erna�on project, except upon written agreement with, and appropriate compensation to a N H N T B �o M P A N Y HNT6. If requested, reproducible copies will be provided to the Client for information and reference in connection with the project as a reimbursable expense. 9. Appropriate credit shall be given to HNTB in any general publicity releases, awards submissions, and on-site signs which identify other professionals and contractors working on this project. Drawings prepared for the project by HNTB may not be reproduced for any use unless the reproduction carries proper credit to HNTB. 10. Either party to the agreement may terminate the agreement at any time upon seven (7) days written notice, at which time remuneration shall be made to HNTB for all work completed to time of notice of termination. 11. All services rendered under this contract and questions which arise are governed by Maryland Law. In the event that HNTB should be required to take lega) action to collect any monies due according to the terms of this Agreement, the Client hereby expressly agrees to pay all costs of such action, together with reasonable attorney fees. The Client also agrees that any such legal action may be pursued by HNTB in either the District Court of Maryland for Howard County, or the Circuit Court of Maryland for Howard County, and the Client agrees to submit to the jurisdiction and venue of those courts. 12. Failure by HNTB to enforce any provision of this Agreement shall not be construed as a waiver of that, or any, provision of the Agreement. 13. The total cumulative liability of HNTB, its agents, servants, employees, and subconsultants to the Client with respect to services performed or to be performed pursuant to this Agreement, whether in contract, indemnity, contribution, tort (including, but not limited to, negligence) or otherwise shall be limited to the net fee (not including reimbursable expenses) received by HNTB. HNTB shall not be liable to the Client for special or consequential losses or damages including, but not limited to, loss of use. HNTB shall not be liable to the Client for losses, damages, or claims for which the Client fails to give notice to HNTB within reasonable time, not to exceed ninety (90) days from discovery.
