2001-52 AUTHORIZING AND APPROVING THE CURRENT REFUNDING

WHEREAS,the Corporation has determined that it is in its best interest to currently refund the outstanding Series 1991A Bonds; and WHEREAS,the Corporation now desires to obtain a loan from the Illinois Health Facilities Authority (the "Authority") to provide a portion of the moneys necessary to currently refund the Series 1991A Bonds and to accomplish certain other purposes, all as permitted under the Act; WHEREAS,it has been deteimined that in order to accomplish such purposes the Authority will issue$ in aggregate principal amount of its Revenue Bonds,Series 2001(Decatur Memorial Hospital)(the"Series 2001 Bonds"),to be issued under the Bond Trust Indenture dated as of July 1,2001 (the"Series 2001 Bond Indenture")from the Authority to The First National Bank of Decatur,as bond trustee(the "Series 2001 Bond Trustee"); and WHEREAS,this Second Supplemental Indenture is entered into for the purpose of accomplishing the current refunding of the Series 1991A Bonds in accordance with the Series 1991 Bond Indenture and for the purpose of setting forth the duties and obligations of the parties hereto in connection with said current refunding of the Series 1991A Bonds; NOW,THEREFORE,IT IS HEREBY COVENANTED,DECLARED AND AGREED by and between the parties hereto that all the tcvst estate is to be held and applied,subject to the further covenants, condirions,releases,uses and trusts hereinafter set forth,and the Municipality,for itself and its successors, does hereby covenant and agree to and with the Series 1991 Trustee and its respecrive successors in said trust, for the benefit of those who shall own the Series 1991A Bonds, or any of them, as follows: ARTICLE I DEFINITIONS Section 101. As used in this Second Supplemental Indenture,the following words and terms shall have the following meanings,unless the context clearly indicates otherwise. Any capitalized words or terms used herein which are not defined herein shall have the meanings assigned to them in the Original Indenture. "Act"means the laws of the State of Illinois and the"home rule"powers of the Municipality under the Illinois Constitution of 1970. "Authority"means the Illinois Health Facilities Authority,a body politic and corporate created and existing under and by virtue of the Illinois Health Facilities Authority Act of the State of Illinois,as amended, and its successors and assigns. "Corporation"means Decatur Memorial Hospital,an Illinois not for profit corporation,and its successors and assigns and any surviving,resulting or transferee corporation.
