AGREEMENT <br /> BY AND BETWEEN <br /> THE MACON COUNTY CIRCUIT CLERK <br /> AND <br /> THE CITY OF DECATUR, ILLINOIS <br /> REGARDING THE DIGITICKET ELECTRONIC TICKETING SOLUTION <br /> SOFTWARE/HARDWARE BY SALTUS TECHNOLOGIES <br /> This Agreement ("Agreement") is hereby made and entered into as of the date of execution by <br /> and between the Macon County Circuit Clerk("Circuit Clerk") and City of Decatur, Illinois, a <br /> municipal corporation("City") (collectively, "Parties")to provide far the purchase of the <br /> digiTicket electronic ticketing solution software/hardware by Saltus Technologies. <br /> WHEREAS, the Circuit Clerk and the City are empowered under the laws of the State of Illinois <br /> and under the rules of their governing bodies to enter into contracts to the extent that said <br /> contracts do not exceed amounts appropriated therefore by their respective governing bodies. <br /> NOW, THEREFORE, in consideration of the foregoing recitals and the mutual covenants and <br /> promises contained herein, the sufficiency of which is hereby acknowledged, the Parties do <br /> hereby agree as follows: <br /> 1. The Circuit Clerk shall purchase the digiTicket software/hardware program, as presented <br /> to the Circuit Clerk in the purchase agreement with Saltus Technologies dated November <br /> 20, 2015. <br /> 2. The Circuit Clerk shall bill the City $7,331.00 for its portion of the purchase agreement. <br /> Said billing shall occur after January 1, 2016, and shall cover the purchase of 17 scanners <br /> and the implementation of Ordinance Violations. <br /> 3. The Cityshall pay its portion within 10 days of being invoiced for said portion. <br /> 4. Beginning in year two of the Circuit Clerk's agreement with Saltus Techologies ("Saltus <br /> Agreement"), the City agrees to pay to the County $6,178.00 per year, which shall <br /> constitute recurring annual fees, for the life of the Saltus Agreement. Said recurring <br /> annual fees shall include the annual maintenance, support fees and web hosting fees. <br /> 5. The City agrees to pay such recurring annual fees within 10 days of being invoiced for <br /> the same by the Circuit Clerk. <br /> 6. The Circuit Clerk and the City agree that the recurring annual fees described above will <br /> be reduced on a pro rata basis in the event that additional law enforcement agencies begin <br /> using the digiTicket system. It is understood and agreed that at the time of adoption of <br /> this Agreement, the Macon County Sheriff's Office and the Mt. Zion Police Department <br /> are already using the digiTicket system. <br /> 7. The Circuit Clerk agrees to provide to the City all necessary access to the digiTicket <br /> system, insofar as said access pertains to all proper functions, duties, and responsibilities <br /> of the City. <br /> 8. The Circuit Clerk agrees to consult with the City, through it's designated representative, <br /> the Deputy Chief of Patrol in any future negotiations with Saltus Technologies, as they <br /> pertain to future purchase agreements or extensions of the current purchase agreement <br /> with Saltus Technologies for the digiTicket system.
