from the date of closing to the date the deed from Buyer to the City of <br /> Decatur is recorded, which taxes shall be computed using the most recent <br /> prope�ty tax bill for the Property, and all costs associated with remediating <br /> any changes or improvements made to premises by Buyer, its successors <br /> and assigns, as deemed necessary in the sole discretion of the Seller. <br /> (11) Buyer agrees that the Property shall, for a period of not less than ten (10) <br /> years from the date of closing, be used exclusively by a not-for-profit <br /> corporation for providing a free food pantry, clothing and prescription <br /> assistance, household furnishings, financial counseling and associated <br /> services serving at least 51% low-to-moderate income residents as <br /> defined by the U.S. Department of Housing and Urban Development, or <br /> similar not-for-profit use agreed to in writing by Seller. Buyer further <br /> agrees to allow Seller or its designee adequate access at reasonable <br /> hours and upon reasonable notice, to allow Seller to monitor compliance <br /> with the use requirements. This requirement shall survive the closing, and <br /> shall be specifically enforceable by Seller and its successor(s) or assign(s) <br /> for a period of not less than ten (10) years following the date of closing. <br /> B. Buyer's Obligations. Buyer's obligations under this Contract <br /> are subject to the following conditions ' <br /> Buyer represents that it is fully informed as to the state of title to the property, 'I <br /> and that it has had adequate opportunity, at its sole expense and option, to '� <br /> obtain such title reports and surveys regarding the Property as Buyer may <br /> choose. Buyer shall advise Seller in writing within 30 days after the effective date <br /> of this agreement of any defect in the condition of title disclosed by such reports <br /> or surveys. In the event of such notice, the conveyance to Buyer shall be <br /> delayed for a reasonable time, to allow Seller to decide whether to cure the <br /> disclosed condition of title. If Seller is unable or unwilling to cure the disclosed <br /> condition of title within a reasonable time after notice thereof, Buyer or Seller may <br /> elect to cancel and terminate this Contract. In such event, Seller shall refund to <br /> Buyer any sums paid hereunder, if Buyer shall so elect. Failure to notify Seller of <br /> any objection to the condition of title shall constitute a waiver thereof. <br /> 4 <br /> Page 21 of 180 <br />
