The Illinois Historic Preservation Agency has the absolute right at its discretion (with ' <br /> cause) to terminate this Agreement and not to render payment for any or all services provided <br /> for in this Agreement upon giving five (5) days prior written notice. The Illinois Historic <br /> Preservation Agency has the absolute right to require repayment subject to the provisions of <br /> the Illinois Grant Funds Recovery Act P.A. 83-640. ' <br /> 5. The State of Illinois, represented by the State Historic Preservation Officer, or his I, <br /> designee, and the project sponsor mutually agree to perform this agreement in accordance ', <br /> with the National Re�ister Programs Guidelines(NPS-49), and with the project proposal, '� <br /> terms, promises, conditions, plans, specifications, estimates, procedures, and assurances I <br /> submitted by the project sponsor. ANY CHANGES IN THE SCOPE OF WORK, � <br /> TIlVIETABLE PRODUCTS OR BUDGET MUST HAVE PRIOR WRITTEN APPROVAL <br /> OF THE STATE HISTORIC PRESERVATION OFFICE. <br /> 6. The State of Illinois hereby promises, in consideration of the promise made by the project <br /> sponsor herein, to obligate to the project sponsor the amount of money referred to below, and to <br /> tender to the sponsor that portion of the obligation which is required to pay the State of Dlinois' <br /> share of the costs of the above project stage, based upon the below percentage of assistance. The <br /> project sponsor hereby promises, in consideration of the promises made by the State of Illinois <br /> herein, to execute the project described above in accordance with the terms of this agreement. <br /> 7. The undersigned authorized representative certifies that officials of the City of Decatur, <br /> to the best of his/her knowledge, have not been convicted of bribery or attempting to bribe an <br /> officer or employee of the State of Illinois, nor have the officials of the City of Decatur <br /> made an admission of guilt of such conduct which is a matter of record. <br /> 8. The project sponsor certifies that they are not in default on an educational loan as <br /> provided in Public Act 85-827. <br /> 9. The project sponsor certifies that they have not been barred from bidding on this contract <br /> as a result of a violation of Section 33E-3 or 33E-4 of the criminal code of 1961. <br /> 10. The project sponsor agrees to comply with the Single Audit Act of 1984. The project <br /> �onsor will forward the most recent audit performed under the Sin�,le Audit Act of 1984 to <br /> the Historic Preservation A�ency with this si�ned agreement. <br /> 11. The vendor certi�es that neither it nor any substantially-owned affiliated company is <br /> participating or shall participate in an international boycott in violation of the provisions of the <br /> U.S. Export Administration Act of 1979 or the regulations of the U.S. Department of Commerce <br /> promulgated under that Act. <br /> 12. COPYRIGHT, PATENTS, TRADEMARKS. Any work produced under this contract shall <br /> become the property of the State of Illinois, including any rights that otherwise might be <br /> available to the contractor under copyright, patent, and trademark laws. Contractor specifically <br /> agrees that the compensation provided for hereunder also includes such rights. <br />
