e t � AGREElaIENT TRANSIT PLANNING STUDY FOR ' THE CITY OF DECATUR PUBLIC TRANSIT SYSTEM For and in consideration of the payments, promises, covenants, agreements and conditions hereinafter set forth to be paid, performed, kept and met by the respective parties hereto, this Agreement is made by and between THE CITY OF DECATUR, ILLINOIS, hereinafter referred to as the"CITY", and The Corradino Group, Inc.,hereinafter referred to as the "CONSULTANT". The CITY is engaged in the development of a Transit Planning Study. The CITY desires to engage the CONSULTANT to assist in the conduct of the study, and it is the desire of the I CONSULTANT to be engaged by the CITY in the foregoing study. 'I This Agreement is subject to the fund.ing and approval of the Illinois Department of ', Transportation (IDOT), and is subject to a financial assistance contract between the City of j Decatur and the Illinois Department of Transportation. ' 1.0 COMMUNICATIONS l.l FORMAT Communications in connection with this Agreement shall be in writing; communications received by facsimile (FAX) machine shall be accepted. All written communications shall be addressed to the officer(s) or employee(s) of the CITY and of the CONSULTANT designated to receive such communications. Telephone calls and e-mail may be used to expedite communications, but shall not be official communications unless confirmed in writing. 1.2 OFFICIAL RECEIPT Communications shall be considered received at the time actually received by the addressee or designated agent and shall be effective upon the date of receipt. 1.3 OFFICIAL ADDRESS For purposes of this agreement, all notices and other communications shall be addressed to the respective parties as follows: CITY CONSULTANT The City of Decatur, Illinois The Corradino Group, Inc. 555 East Wood Street 200 S.
