, r y , <br /> _ , <br /> NOW THEREFORE, in consideration of the mutual covenants hereinafter set forth, the parties <br /> agree that the abo�e recitals are made a part of this Agreement, that this Agreement is made to <br /> provide state and federal financial assistance to the Grantee in the form of a capital grant <br /> (hereinafter referred to as the "Grant"), to set forth the terms and conditions upon which the <br /> Grant will be made and to set forth the agreement of the Parties as to the manner in which the <br /> Project will be undertaken, completed and used. The parties further agree as follows: <br /> ITEM 1 - DEFINITIONS <br /> As used in this Agreement: <br /> A. Mass Transportation Service means general or special transportation service provided to <br /> the public (but not school bus, charter or sight-seeing service) on a regular and continuing <br /> basis in the service area described in the Grantee's final, approved application. - <br /> B. Net Project Cost means the sum of the eligible costs incurred in performing the work on <br /> the Project, including work done by the Grantee, less proceeds from sale of sc[ap and <br /> replaced facilities. <br /> C. Project means the mass transportation capital project for which grant funds are to be <br /> used by the Grantee pursuant to this Agreement, as described in Grantee's final <br /> approved application. <br /> D. Project Facilities means any facitities, equipment or real property purchased, acquired, <br /> constructed, improved, renovated or refurbished as part of the Project. <br /> E. "FTA" means the Federal Transit Administration of the United States Department of <br /> Transportation. <br /> F. "Government"means both the United States federal government and the State of Illinois <br /> state government or any of its federal or state agencies. <br /> G. "Contractor"or"Third Party Contracto►" means a vendor or contractor of the Grantee, <br /> paid or financed in whole or in part with federal or state assistance. <br /> ITEM 2 -THE PROJECT <br /> The Grantee agrees to undertake and complete the Project and to provide for the use of Project <br /> Facilities, in the manner set forth in the Grantee's final application that has been approved by <br /> the Department, for the amounts set forth in the Approved Project Budget, a copy of which <br /> . budget is attached hereto and incorporated herein as Exhibit "B", and in accordance with this <br /> Agreement and all applicable laws and regulations. The Project, which is more particularly <br /> described in the plans, specifications and schedules set forth in the Grantee's final approved <br /> application, is generally described as follows: <br /> 11.12.02a Purchase three heavy-�,i y uses � <br /> 11.12.02b Contingencv <br /> �1.12.02c Purchase two heavy-du�,y buses <br /> 11.12.02d P�rchase two heavy-duty buses <br /> State/Federal Capital Grant paSe S <br />
