, • , TRANSIT SYSTEM MANAGEMENT AGREEMENT <br /> BETWEEN <br /> THE CITY QF DECATUR, ILLINOIS <br /> ANp <br /> PROGRESSIVE TRANSPOR7ATION SERViCES, lNC. <br /> THIS TRANSIT SYSTEM MANAGEMENT ACREEMENT hereinafter referred to as the <br /> ("AgreemenY') is rnade and entered into as of the �'"'day of/va►�w , 199� by and betwEen <br /> PROGRESSIVE TRANSPURTATION SERVICES, INC., a New York corparation (hereinafter referred to as <br /> "Manager"), �nd the City of Decatur of the State of Illinas (hereinafter re3erred to as "City"). <br /> WITNESS � TH <br /> WHEREAS, City operates or is charged with operating a public, surtace mass transpor#ation system <br /> and is desirous of engaging a qual�ed transit management company to manage the operation of such <br /> transit bus system; and <br /> WHEREAS, Manager has significant expertise and know-haw in managing transit systems of the <br /> typ�operated by or far City; and <br /> WHEREAS, City is desirous of engaging Manager to provide, and M�nager is desirous of providing <br /> such #ransit system m�nagement setvices to City upon the terms and subject to the conditions hereinafter <br /> set forth. <br /> NOW, THEREFORE, in oonsideration of the premises and the covenants and agreem�nts of each of <br /> #he parties hereinafter set#orth, the parties hereby agree as fo{lows: <br /> l. Ertc�aq+�ment <br /> Ciiy hereby engages Manager as an independent contractor ta manage and supervise the conduct 8nd <br /> operation of City's surface mass transit bus system (hereinafter �eferred to as tl�e "Sys#em"}, and <br /> Manager hereby accepts such engagement upon the terms and conditions set forth herein. <br /> 2. Scone of Services of Manaqer <br /> Manager will provide the management, operatian and direction of the transit system, with the pversight <br /> and approval of the City, including, but not limited to the foltowing: <br /> A. EMPLOYEES: <br /> 1. employment (and dismissal) of employees necessary to carry out all functions of the <br /> transit system <br />
