<br /> forms of compensation; and setection for training including apprenticeship.
<br /> 18.force Majeure
<br /> In the event Manager is unable to provide the servir,es as d�scribed herein because of acts of God, fire,
<br /> ript, war, picketing, civil commotion, strikes, labor digputes or any other cause beyond its contral, the
<br /> �ity shall excuse Manager from pertorming hereurtder and shaN have the right to take over operation of
<br /> that portion of the Syst�m which Manager is prevented from operating until Manager is able to resume
<br /> operation.
<br /> 19. Obliqations
<br /> It is acknowledged and agreed by C1ty and Manager that all agreements, undertakings, ind�btedness
<br /> and other obiiga#ions of the SyStem existing prior#o the effective date of this Agreement, or existing at
<br /> any time thereafter, have been and shat( remain the sole responsibitity of City, notwi#hstanding that
<br /> Manager may assume ad.ministrative responsibilities therefor. !t is understood and agreed that at1 the
<br /> cantracts enterQci into by Manager during this Agreement shall be for the bene�t'of the System. It
<br /> further is understood and agreed that upon tlte expiration �r other termination of this Agreement, all
<br /> agreements, contractual obligations and the like which have been administratively controlled by
<br /> Manager or entered into by Mangec under this Agreement, excepting any labor t�r other personnel
<br /> agreements or contracts, au#omatica{ly shall revert and/or be transferred to City without further act or
<br /> deed and Gity thereupon shall assume a�lt obligations and liabilities #hereunder and Manager shall be
<br /> relieved of all obligations and liabilities thQreunder.
<br /> 20. Hold WarmlessM(aivet of Subroctation
<br /> During the term of this Agreem�nt and thereafter, City shalt indemnify and hold harmless Manager,
<br /> Manager's parent and �liated companies and their respective sMarQholders, directors, offic:ers, agents
<br /> and �mployees, and eaCh of their respective successors, assigns, h�eirs and persanal representatives,
<br /> from and against any and atl claims, causes of actiorr, oblig�tions, liabitities, losses, damages,
<br /> judgments, settJements, awards, costs and expenses (including reasonable attdmeys' fees and +court
<br /> cos#s) c�fi every kmd and nature which are not covered by insurance and the proceeds of which ar'e
<br /> actually received by or paid for the her�efit of such indemnified parties, and which may arise or result
<br /> from or by reason of the management or operation of the System wheth�er or not caused, in whole or in
<br /> part, by the grass negligenc+e nf the Ci#y.
