, , , , � THIS AGREEMENT made this 12th day of October, 1999 by and beriveen the CITY OF DECATUR, ILLINOIS, referred to as the "Client" and Gould Evans Goodman Associates, LC, referred to as the "Consultant": WITNESSETH THAT: WHEREAS, the Client desires to engage the Consultant to render certain agreed upon professional consulting services regarding the preparation of a comprehensive plan for the City of Decatur and the Consultant desires to provide said services, all upon the terms hereinafter set forth. NOW THEREFORE, in consideration of these promises, the Parties hereto do mutually agree as follows: 1. Scope of Services The Consultant agrees to perform for the Client certain professional services, which are set forth in Attachment A, which is hereto and made a part of this Agreement. It is understood that both the tasks to be performed and the required fee may be changed by mutual written agreement and in response to changing conditions and requirements during the course of this consulting engagement. Any modifications to the Scope of Services or Compensation to Consultant shall be made pursuant to paraQraph 6 herein. 2. Time and Performance The services of the Consultant shall commence with the e:cecution of this Contract bv the Client. See Attachment A r The Consultant will exercise reasonable skill, care, and diligence in the performance of its services and�vill carry out its responsibilities in accordance with customary accepted professional planning practices in Consultant's community. No warrantv, expressed or implied, is included in this Contract or in any draw-ing, specification, report or opinion produced pursuant to the Contract. 3. Compensation The Consultant shall be compensated on a monthly basis as further described in Paragraph 4, for a total fee of$191,000.00 for professional services and sub- consultants, plus additional direct expenses not to eYceed$16,000; provided that, the client shall not be liable for any accrued expenses in e:ccess of funds appropriated by the Ciry Council for this Agreement. These direct e:cpenses would include printing, photography, telephone, overnight delivery, travel, and research materials. -1- � - �
