TERMS AND CONDITIONS <br /> NOW THEREFORE,in consideration of the mutual covenants,warrants and agreements <br /> contained herein,together with other good and valuable consideration,in hand paid,the receipt and <br /> sufficiency of which are hereby acknowledged, the parties hereto do hereby agree as follows: <br />, 1. Recitals. Prairieland and the City hereby covenant,warrant and agree that the <br /> foregoing Recitals are not mere recitals, but rather constitute a material and integral part of this <br /> Agreement, and each covenants further that those recitals applicable to each are true and accurate. <br /> 2. Prairieland Premises. Throughout the term of this Agreement, Prairieland <br /> shall provide an automobile and vehicle storage lot within the corporate limits of the City capable <br /> of storing Two Hundred Fifty(250)vehicles in an orderly and safe manner, as may be reasonably <br /> approved by the Chief of the Decatur Police Department. Said storage facilities shall include <br /> reasonable security measures, including fencing, lighting and on-duty security personnel to secure <br /> and safeguard all automobiles and vehicles which are the subj ect of this Agreement on a twenty-four <br /> (24) hour, seven(7) days per week basis. <br /> On the Prairieland premises, Prairieland also shall provide an enclosed, self-contained 'i <br /> temporary evidence stall space,capable of being entirely darkened on request by the Decatur Police <br /> Department. On such evidence bay,Prairieland shall provide an alarm system reasonably acceptable <br /> to the City for purposes of maintaining evidence integrity. At the time of entry into this Agreement, <br /> Prairieland has in place an acceptable alarm system as well as acceptable fencing, storage lot and <br /> evidence storage bay. <br /> Prairieland will not make any changes or alterations to the aforementioned evidence bay or <br /> alarm system, and Prairieland will not decrease the quantity or quality of the remaining <br /> characteristics described within this section,without approval and acceptance by the City. <br /> 3. Insurance and Bond Requirements. (a) Prairieland has provided or shall <br /> provide to the City a performance bond issued by a reputable issuer in an amount not less than Five <br /> Thousand Dollars($5,000.00),which shall remain in full force and effect throughout the term of this <br /> Agreement. <br /> (b)Prairieland shall obtain and maintain,throughout the term hereof,policies of insurance, <br /> with each described policy including the City as an additional insured as follows: (i) a general <br /> liability insurance policy with a single combined limit,including bodily injury and property damage, <br /> in an amount not less than Five Hundred Thousand Dollars($500,000.00)for each occurrence,One <br /> Million Dollars ($1,000,000.00) aggregate; (ii) an automobile liability insurance policy for any <br /> automobile with a combined single limit,including bodily injury and property damage,in an amount <br /> not less than Five Hundred Thousand Dollars ($500,000.00) for each occurrence, One Million <br /> Dollars ($1,000,000.00) aggregate; and (iii) a garage keepers legal liability insurance policy on a <br /> -2- <br />
