t ' • , , <br /> . � , ' . � <br /> � . � • <br /> � � <br /> INTERIM AGREEMENT <br /> This Interim Agreement is made and entered into as of the 1 st day of June, 1999, by and <br /> between City of Decatur("City") and Ryder/ATE, Inc., a Delaware corporation("TMD"). <br /> WHEREAS, the City and TMD entered into a Management Agreement dated July 14, <br /> 1998 for a contract term of one year, with two (2) one year options, commencing on July 1, 1998 <br /> and ending June 30, 2001; and <br /> WHEREAS, TMD is the current provider and the city has requested that TMD continue <br /> to provide services for an additional ninety(90) days; <br /> NOW THEREFORE, for and in consideration of the promises, covenants, agreements <br /> and conditions hereinafter set forth to be performed, kept and met by the respective parties <br /> hereto, this Interim Agreement is made by and between THE CITY OF DECATUR, ILLINOIS, a <br /> Municipal Corporation, hereinafter referred to as City, and Ryder/ATE, Inc. authorized to and <br /> doing business in the State of Illinois, hereinafter referred to as ATE and Transit Management of <br /> Decatur, Inc. ("TMD"), an Illinois corporation and a wholly-owned subsidiary of Ryder/ATE, <br /> Inc. as follows: <br /> 1. TMD shall continue to supply services as provided in this Interim Agreement for a <br /> period of ninety (90) days from July 1, 1999 through September 30, 1999, at the monthly rates <br /> provided for the First Option Year as specified in paragraph 27 herein. <br /> 2. In order to provide adequate, legal notice to all employees of TMD of any potential • <br /> impact to their employment status, City agrees to give TMD seventy (70) calendar days notice of <br /> its intent to terminate this agreement. If City fails to provide such notice the parties agree that <br /> this agreement will, without additional action by either party continue in full farce and effect. In <br /> no event shall this Agreement terminate later than December 31, 1999. If TMD's services are to <br /> 1 <br />
