. • ' , ', , <br /> , ° <br /> continue beyond December 31, 1999, City agrees to amend the agreement to execute the full <br /> remaining term of the First Option Year. <br /> 3. If the City terminates this agreement with less than seventy (70) calendar days notice, <br /> it agrees to pay TMD a termination fee to TMD of two (2) months fee. <br /> 4. This Interim Agreement supersedes all oral negotiations and prior and <br /> contemporaneous writings with respect to the subject matter hereof and is intended by the City <br /> and TMD as the final expression of the agreement with respect to the terms and conditions set <br /> forth herein and as the complete and exclusive statement of the terms agreed to by the City and <br /> TMD. , <br /> 5. Commencing with the first day of the term of this Interim Agreement and continuing <br /> through the duration thereof, ATE a rees to furnish full and com lete mana ement and '� <br /> g P g <br /> supervisory services reasonably required for the conduct and operation of public transportation <br /> facilities owned by the City and all appurtenances and additions to said facilities for the purpose <br /> of providing public transportation of persons for hire within the City and areas proximate thereto. <br /> 6. ATE shall furnish a resident manager and any additional non-resident personnel <br /> reasonably required for the active management and direction of the system on behalf of the City <br /> in, but not limited to, the following areas, A-F; should additional resident personnel be required, <br /> ATE shall pay any related costs of such personnel to the City, subject to the City's Interim <br /> Agreement. <br /> A. Transportation Operations including: <br /> 1. Establishment and direction of garage,transportation and office procedure <br /> and supervision of all transit personnel. <br /> 2. Direction and preparation of advertising campaigns, sales promotion and <br /> public relations projects. <br /> 2 <br />
