, � ns9IGNML�rrr OF CSTY CONTRACT the ��-�yTHIS ASSIGNMENT OF CITY CONTRACT is entered into as of day of November, 1998, by and betwe�n Recycle Unlimited, znc . , a wholly owned subeidiary of waste Environmental Sexvices, Inc . ( ��Assignor") , and American Disposal Services, 2nc, , ( "Assignee") ; w I T N E S S E T H: WHEREAS, in that certain Asset Purchase Agreem�nt (the '�Asset Purchase Agreement") dated as of November 9, 1997, by, between and among Assignor and Assignee, Assignor agreed to assign, to Assignee a11 of their right, title, and interest in, to, and under certain operating contracts and pernits which are � more particularly described on a Schedule to tne Asset Purcha�e Agreement (the "Business Cor.tracts") ; and WHEREAS, ?�ssignee agreed to assume and perform Assignor's ob�i�ations under the eusiness Contracts; and WHERr^,AS, ur_der one of thE Business Contracts, Assignee is ' a par�y to a curb�ide recyclzng Contract with the City of Decatur, Illineis, a copy oi which is attached hereto as Exhibit A; (the '' „Ci cY� Ccntract" ) ; ar_d WHEREAS, the City Contract require� consent to asszgnment by t:ze City cf Decatur, Illinois. NOW, THEREFORE, for ten dollars ($10 . 00) and other good and valuable consideration, the reeeipt and adequacy of whic,h are hereby acknowledged, Assignor do hereby sell, assign, transfer, and � convey to Assignee all of their right, title, and interest in, to � and under �he Business Contracts; and Assign�e hereby assumes and agrees to perform all of the obligations of Assignor under the City Contract accruing after the closing date of the transaction contemplated by the Asset Purchase Agreement . This Assignment of City Contract is made pursuant and subject to the Asset purchase Agreement and incorporates all of the t�rms and condition9 therein.
