2.04 Confidentiality <br /> The Employer and VISTA shall treat with confidentiality all information provided to one <br /> another under the terms of this agreement; including, but not limited to information relating to <br /> specific Employees; shall use such information only to administer this contract and the Plan <br /> document; and shall not release any information for any other purpose, except as required by <br /> law. The Employer may, however, utilize information regarding overall claims e�erience for <br /> comparative rate quotations. <br /> 2.05 Documentation <br /> The Employer will provide VISTA with copies of all documents by which the Plan is <br /> established and any amendments or changes to the Plan as may from time to time be adopted. <br /> The Employer will provide VISTA after the close of each pay period with a report listing the <br /> Eligible Employees and their respective payroll reductions. <br /> Article 3 <br /> Financial Responsibilities <br /> 3.01 General Obtigations <br /> The Employer shall immediately assume: all risks; all financial obligations, including but not <br /> limited to Claim Payments, court costs and attorney's fees; and a11 other liabilities VISTA may <br /> assume or which otherwise might attach with respect to processing Coverage(s) pursuant to <br /> this contract. The Employer shall make full payment and satisfaction to VISTA for all amounts <br /> resulting from such risks, financial obligations and liabilities. <br /> 3.02 Specific Obligations <br /> The Employer shall,for each Contract Year, pay VISTA the total of the following amounts: <br /> a.) an administrative charge of$5.00 per participant per month. <br /> b.) reimbursement of expenses incurred by VISTA for: printing a11 forms, booklets, andlor <br /> Documents required by the Plan,to a maximum of$500 per yeaz; professional services <br /> incurred by VISTA with respect to the Plan or administration of the Plan. <br /> c.) any other amounts which aze the Employer's responsibility under the terms of this <br /> agreement, including a one-time set up fee of$500. <br /> d.) Employer will forward to VISTA a check equal to the total shown on the biweekly <br /> Flex Funding Billing Report. VISTA shall have no obligation to issue or accept checks <br /> for benefits payments when said transfer of funds has not been made. <br />
