Article 4 <br /> Payment of Financial Responsibilities <br /> 4.01 Timely Payment <br /> All amounts deternrined under this Contract shall be timely paid. <br /> 4.02 Scheduled Adjustments <br /> Approximately thirty (30) days prior to renewal, VISTA shall notify the Employer of any <br /> adjustment of the administrative fee. Such adjustment shall become effective on the Renewal <br /> Date and, except for specified changes in Coverage(s), shall remain constant for that Renewal <br /> Term. <br /> 4.03 Post Termination <br /> Notwithstanding other Contract provisions, the Employer's obligation to pay amounts incurred <br /> under this Contract survives ternunation and the Employer shall timely pay all amounts owed. <br /> Article 5 <br /> Term,Termination,Amendment and Law <br /> 5.01 Term <br /> This Agreement shall be in effect for the twelve (12) months of the Plan Year written below, <br /> and shall renew automatically on the Renewal Date unless, prior to that Date, either party <br /> provides thirty(30)days written notice oftermination. <br /> 5.02 Termination <br /> a.) Normal <br /> Either party may, upon the first (lst) day of the month following thirty (30) <br /> days written notice, terminate this Contract as to claims incurred after <br /> ternunation. <br /> b.) Nonpayment/Partial payment <br /> Notwithstanding any other Contract provision, in the event that the Employer <br /> fails to timely pay any amounts owed, VISTA may, after ten(10) days written <br /> notice,ternunate this Contract. <br /> c.) Ternunation of this Agreement shall not tern�inate the rights or liabilities of <br /> either party arising out of a period prior to such ternunation. <br /> 5.03 Amendment and Law <br /> Amendments to this agreement may be made from time to time, but only if in writing and <br /> signed by both parties. This ageement shall be construed according to the laws of the State of <br /> Dlinois. <br /> This agreement is effective for the Plan year beginning 7anuary 1, 1999. <br />
