expenses of every kind that may arise or result by reason of the acts or omissions of ATE or <br /> TMD or the employees of ATE or TMD by reason of, growing out of, or connected with the <br /> management or operation of said transit system or facilities and the carrying out of the terms and <br /> provisions of this Agreement. ATE shall, at ATE's own expense, defend all suits that may be <br /> brought against the City on account of, or in connection with, or by reason or any loss, damage, <br /> liability ar expense connected with, growing out of or caused by any criminal act or fraud of ATE <br /> or any employee of ATE in or about the management or operation of said facilities hereunder and <br /> shall save and keep harmless the City from any and all damages,judgments, costs and expenses <br /> of every kind that may arise or result by reason of the criminal acts or fraud of ATE or the <br /> employees of ATE by reason of, growing out of, or connected with the management or operation <br /> of said facilities and the carrying out of the terms and provisions of this Agreement. <br /> 20. TMD shall operate said transit system on the days, during the hours and over the <br /> routes with such scheduling, and at such fares as shall be approved or directed by City from time I <br /> to time. TMD shall collect on behalf of the City and pay over to the City and account for to I <br /> the City all revenue, fares and other income arising from the operation of the transit system, all of ' <br /> which shall be the property of the City. <br /> 22. TMD shall deposit in a bank, or in banks, designated by the City all monies collected <br /> under the provisions hereof at such times and in such manner as may be directed by the City from <br /> time to time, and shall keep such daily and other periodic records as City may direct, and shall <br /> transmit the same to City in the manner and form designated by City and shall keep and preserve, <br /> or if directed by City shall deliver to City, such tickets, receipts or other documents or <br /> instruments as City may direct to substantiate the records, books, and accounts of TMD to be <br /> 8 <br />
