No other properties or business interests of <br /> Cardwell are included under the terms of this Agreement or any <br /> way bound or restricted by the terms of this Agreement. <br /> ARTICLE XII - Miscellaneous <br /> 12 . 1 Amendments and waivers. No modification, rescission, <br /> waiver, release or amendment of any provision of this Agreement <br /> shall be made except by a written agreement subscribed by <br /> Cardwell and duly authorized representatives of Decatur. <br /> 12 .2 Delays and Omissions. No course of dealing and no <br /> delay or omission by Decatur in exercising any right or remedy <br /> hereunder or with respect to any indebtedness of Cardwell to <br /> Decatur shall operate as a waiver thereof or of any other right <br /> or remedy, and no single or partial exercise thereof shall <br /> preclude any other or further exercise thereof or the exercise of <br /> any other right or remedy. Decatur may remedy any default by <br /> Cardwell hereunder or with respect to any other person, firm or <br /> corporation in any reasonable manner without waiving the default <br /> remedied and without waiving any other prior or subsequent <br /> default by Cardwell and shall be reimbursed for its expenses in <br /> so remedying such default. All rights and remedies of Decatur <br /> hereunder are cumulative. <br /> 12. 3 Assignability. If Decatur approves sale of the Real <br /> Property by Cardwell, all rights and obligations of Cardwell <br /> hereunder shall become rights and obligations of the purchaser. <br />
