The City of Decatur <br /> 3615-A lsabefle Street Police Department <br /> Brossard, Quebec 333 South Franklin Street <br /> J4Y 2R2 Decatur, Illinois <br /> 62523 <br /> ( MicroSlate ) ( Decatur) <br /> 1(a) Decatur agrees to Purchase the Equipment specified in Appendix"A", attached to <br /> and forming part of this agreement,for the value shawn on Appendix"A". <br /> 1(b) Decatur acknowledges that the prices shawn in Appendix"A" are for a quantity of <br /> 80 units, or greater and any reduction in the number of units acquired, under the <br /> terms of this agreement, may result in an increase of the unit price. <br /> 2. MicroSlate agrees to provide the equipment in the configuration specified in <br /> Appendix"A". MicroSlate agrees that time is of the essence and undertakes to <br /> provide the equipment in accordance with the agreed schedule attached to this <br /> agreement as Appendix"B", provided that contracts are received by MicroSlate as <br /> provided for in section 3 of this agreement. <br /> 3. Decatur agrees to provide MicroSlate with a signed agreement no later than the <br /> 20th. day of February 1997. <br /> 4. MicroSlate warrants that the equipment provided wilf be free of defects in <br /> manufacture and under it's Standard Product Warranty will repair, at MicroSlate's <br /> cost for both parts and labor,for a period of 13 months from the date of the <br /> shipment of the equipment by MicroSlate. Repairs under this Standard Product <br /> Warranty shali be carried out at MicroSlate's Repair Depot in Brossard, Quebec <br /> and Decatur shall be responsible for shipping charges incurred by Decatur or <br /> MicroSlate in returning equipment to the Repair Depot. MicroSlate will be <br /> responsible for the payment o#the return shipping charges. <br /> It is agreed that repairs necessitated by misuse, accidental or malicious damage, <br /> however caused, or fair wear and tear shall not be subject to the Standard ProcEuct <br /> Warrant and any such repairs shall be at the cost of Decatur. In the event that <br /> Y <br /> MicroSlate's inspection, of the equipment returned for repair, determines that <br /> such repairs are necessitated by misuse, accidental or ma[icious damage, or fair <br /> wear and tear it will promptly notify Decatur of such determination and wili <br /> provide Decatur wi�h an estimate of the cost of repairs necessary to return the <br /> equipment to operating conditian.
