• ' . Order for such repair or have the equipment returned to Decatur at Decatur's <br /> expense or otherwise disposed of. <br /> Decatur agrees that the batteries supptied with the equipment, or purchased <br /> subsequenf to the initial delivery, are supplies items and the warranty on such <br /> items shall be limited to 90 days from the date of delivery. <br /> The warranties given above are in lieu of all other warranties, expressed or <br /> implied and MicroSlate's liability under this agreement shail be limited to the <br /> repair of the equipment as set forth in this section. In no event shall MicroSlate be <br /> held responsible for any damages arising from the use or misuse of the <br /> equipment or for any consequential damages what so ever. <br /> 5. Decatur agrees to notifiy MicroSlate promptly upon the discovery of a defect in the <br /> equipment and to return the equipment for repair without delay.Such praCtice will <br /> a11ow MicroState time to repair the equipment and will reduce the risk that <br /> Decatur is left without spare units. <br /> 6. Deca#ur agrees that any unauthorized repair or modification, as evidenced by the <br /> breaking'of the security seals on the Datellite 500P,will void the warranty on that <br /> unit. <br /> 7. Decatur agrees that the equipment and configuration set out on Appendix"A" has <br /> been selected by Decatur and it's consultants as being suitable for the purposes <br /> intended and MicroSlate agrees to provide the selected equipment without <br /> warranty as to the suitability for the purposes intended. <br /> 8. Decatur agrees that it wilt select a supplier of hardware necessary to install the <br /> vehicle docking stations in the vehicles selected by Decatur. Decaturwill promptly <br /> notify MicroSlate of the Manufacturer and the model number(s) of the hardware <br /> selected. Decatur recognizes that the provision of such information to MicroSlate <br /> on a timely basis is essential to allow MicroSlate to insure the delivery of the <br /> vehicle docking units configured in such a manner as to fit the selected mounting <br /> hardware. <br /> 9. Decatur acknowledges that a reasonable amount of care and on going <br /> maintenance will be required to maintain the equipment in proper working <br /> order. This wil! include, but not be limited to,the following: <br /> a). 7he week{y cleaning of the Datelfite screen to remove any dust, dirt or oil the <br /> accumulation of which wouid reduce the visibifity of the u�it. <br />' b). The cleaning of any dirt or dust build up from the docking station tray on an as <br /> needed basis. <br /> c). Twice a year check for any chafing of power or radio wires and the taking of <br /> whatever measures are deemed appropriate to prevent additiona{ chafing. <br /> d). Twice a year check for rust under the vehicfe mounting hardware plates and the <br /> taking of whatever corrective measures are necessary to prevent same. <br /> e). Quarterly check for the loosening of any antenna wires and adjust accordingly. <br /> f). Ensuring that the Datellite 5dOP is correctly locked into the vehicle docking unit. <br /> 10. Microslate agrees ta indemnify and hold harmless Decatur from all damages and ', <br /> costs which may be finalfy assessed against Decatur in any action of infringement I <br /> of any United States Letter Patent or copyright with respect to the equipment <br /> detailed in Appendix "A" and reasonable attorney's fees, provided that Decatur <br /> shall give MicroSlate prompt written notice of any action, claim or threat af patent <br /> or copyright suit. <br /> Initialed. �' �— <br /> IvlicroSlate Decatur Agreement#974206 <br />
