I�7DC's of�icers, employees or agents will neither soficit not accept aratuities, favors or anythin� of monetary value trom contractors, potential contractors�or parties to subagreements. To the e�tent permitted by State or local law or regulations, such standards of conduct �vill pro��ide for penalties, sanctions, or other disciplinary actions for violations of such standards b}• �DC's of�icers, employees, or agents, or by contractors or their a�ents. Indemnitv/Insur�uice �+�C shall hold and sa��e the CITY, its officers, agents and emplo��ees harmless from liabilit_y of any nature or kind, includin� court costs and expenses, or on account of any suits or dama�es sustained by any persons or property resultin; from the neolivence, performance or omission of any emplo��ee, agent or representative of NDC. Certificate of Insurance must be attached to the contract at time of signatures and City of Decatur is "the additionally insured." Terminition This Agreement may be terminated by the CITY in accordance with 2� CFR S�.43, in whole or from time-to-time in part, whenever NDC shall materially fail to compl�� «-ith any term of this contract and its attachments and fails to cure such within a period of fifreen (15) days or such longer period as the CITY and NDC shall mutually a�ree provided that the CITY shall serve notice of default in writing upon NDC. Additionally, this AQreement may be terminated for convenience in accordance with 24 CFR 85.44. In the event this contract is terminated by the CITY, NDC shall immediately, upon demand from the CITY, reimburse the CITY the full amount of the funds received by NDC plus all costs and attorney fees incurred by the CITY. However, the CITY, in its discretion, may reimburse NDC for services provided under the Agreement throuVh the date of termination. Hold Harmless NDC a�rees that it �vill hold the CITY harmless and will indemnifi• the CITY for all reasonable costs includin� attorney fees and court costs incurred by the CITY due to the failure of NDC to comply with any and all statutes and regulations applicable under this contract. NDC further ajrees that the CITY is not responsible for personal and/or property dama;e liability claims which may result from work performed under the auspices of this contract. 6
