2.6 The CONSULTANT will submit invoices for monthly progress payments for <br /> services rendered. The CITY shall pay CONSULTANT's invoices within 30 days. <br /> SECTION 3. The parties hereto further mutually agree: � { <br /> 3.1 CONSULTANT is authorized to begin work on the Project immediately upon the <br /> acceptance and execution of this Agreement by the CITY. CONSULTANT shall complete and 'i <br /> submit the draft report described in Attachment A on or before Apri125, 1997. CONSULTANT ' <br /> shall complete and submit the final report described in Attachment A within four weeks ; <br /> following receipt by CONSULTANT of the CITY's comments on the draft report. , <br /> 3.2 The CONSULTANT is responsible for the quality, technical accuracy and <br /> coordination of professional services furnished under this Agreement and shall endeavor to <br /> perform such services with the same degree of care, skill and diligence as is ordinarily possessed <br /> and exercised by similarly situated professionals. No other warranty, express or implied, is <br /> included in this Agreement or in any report or opinion produced pursuant to this Agreement. The <br /> CONSULTANT shall not be liable to the CITY for any special, indirect or consequential <br /> damages resulting from the performance of the Project. CONSULTANT's total liability under <br /> this Agreement shall not exceed the amount of CONSULTANT's compensation under Section 2. <br /> 3.3 The CONSULTANT assumes liability for and agrees to defend and indemnify the <br /> CITY and its officers, agents and employees from liability claims, losses or damages arising out <br /> of CONSULTANT's negligence, except when caused by the negligence of the CITY or its <br /> officers, agents or employees. <br /> 3.4 Subcontractors expected to perform work pursuant to this Agreement are as <br /> follows: Black & Veatch; Limno-Tech, Inc.; Monti Communications, Inc.; and the Illinois State <br /> Water Survey. If, during the term of this Agreement, the CONSULTANT desires to retain <br /> subcontractors in addition to those listed in this section,the CITY shall have prior approval of <br /> any such subcontractor. <br /> 3.5 It is agreed by the parties that at all times and for all purposes hereunder,the <br /> CONSULTANT is an independent contractor and the CONSULTANT's principals, associates, <br /> employees and subcontractors are not employees of the CITY. <br /> 3.6 CONSULTANT's invoices shall include detailed information as to labor hours <br /> spent and direct expenses incurred in the performance of the work. The CONSULTANT and its <br /> subcontrators will maintain financial records, supporting documents, and other records and data <br /> pertinent to this Agreement during the performance of the work and for a period of three years <br /> from the date of final payment under this Agreement, and will make such materials available at <br /> all reasonable times for inspection and copying by the CITY. <br /> 2 <br />
