the AGREEMENT shall be delivered to and become the property of the CITY and that <br /> basic survey notes, sketches, charts, and other data prepared or obtained in accordance <br /> with this AGREEMENT shall be made available, upon request,to the CITY, without <br /> restriction or limitation as to their use. <br /> E. That should the CITY direct changes in the PCR and ECAD Documents after they have <br /> been completed in accordance with this agreement or as the result of policy or concept <br /> changes by the CITY and/or the Illinois Department of Transportation during the time the <br /> work is underway, the CITY shall pay the ENGINEER for such extra work in accordance <br /> with the Section"THE CITY AGREES". <br /> It is understood that"changes" as used in this section, may constitute any change or <br /> amendment of services or work different from or in addition to the ENGiNEER'S <br /> detailed scope of work as included in this AGREEMENT and which is directed by the <br /> City Engineer, acting as Project Manager for the City. It is also understood that items <br /> that may constitute a change include the basic change in the roadway alignment location, <br /> the typical roadway cross-section or the finding of significant environmental impacts. <br /> The provisions of this section shall not be construed in any manner to relieve the <br /> ENGINEER of his responsibility to prepare a complete and adequate PCR and ECAD <br /> documents acceptable to the CITY. <br />' F. That the fullest extent not prohibited by law, the ENGINEER shall indemnify and hold <br /> harmless the CITY, its officers, agents and employees from and against all claims, <br /> damages, losses and expenses (including but not limited to attorney's fees) arising by <br /> i reason of any negligent acts, errors, or omissions of the ENGINEER, or of any other <br /> ersons for whose acts the ENGINEER is le all liable, in the erformance of <br /> P g Y P <br /> professional services under this AGREEMENT. <br /> G. That the ENGINEER will comply with applicable Federal Statutes. State of Illinois <br /> Statutes, and local laws or ordinances of the CITY and the Illinois Department of <br /> Transportation as applicable. <br /> H. That none of the services to be furnished by the ENGINEER shall be sublet, assigned, or <br /> transferred to any other party or parties without the written consent of the CITY, except <br /> as stated in Section A: Item 7 of THE ENGINEER AGREES. The consent to sublet, <br /> assign or otherwise transfer any portions of the services to be furnished by the <br /> ENGINEER shall not be construed to relieve the ENGINEER of any responsibility for <br /> the fulfillment of this AGREEMENT. <br /> I. That the PCR and ECAD Documents, survey data and any other documents furnished to <br /> the CITY by the ENGINEER in accordance with this AGREEMENT shall be endorsed <br /> by him and shall show his professional seal where such is required by law. <br /> � <br /> � <br />
