status report on a monthly basis. All information will be available to the City of Decatur Project Coordinator at all <br /> � times. The Project Manager will assist the Decatur Coordinator in scheduling optional items and recommended items <br /> that best fit the hardware and software environment of the project. <br /> The City of Decatur will have the option of purchasing Trimble AVE Interface at$10,000 until June 30, 1996. Training would <br /> require 5 hours at$85/hour and support fees for the initial year would be$2,100. Training and support fees would also be <br /> held firm through June 30, 1996. After that date,these prices would revert to then current rates. <br /> An escrow agreement for the Source Code is attached to this Agreement. <br /> Unless otherwise stated Customer shall enter into separate purchase of maintenance agreements with each individual <br /> hardware supplier for the equipment. Warranty and maintenance offerings from HTE-PSI for its Program Products do <br /> not apply to any hardware supplied under this Agreement. <br /> The City of Decatur's Request for Proposal and the following Exhibits are expressly incorporated herein by reference and, <br /> together with this Contract,constitute the Contract Documents. In the event of a conflict among or between the Contract <br /> Documents,the documents shall control in the order of precedence set forth below: <br /> (1) HTE Public Safety-Illinois,Inc. Software License and Services Agreement and Supplements <br /> (2)Proposal BC 4211 originally dated January 30, 1995,as amended on March 13, 1995 letter to Mr.Johnston <br /> providing additional information in response to Mr.Johnston's letter of February 24, 1995,and also as <br /> amended on March 9, 1995 letter to ElectroCom from HTE providing response to Mr.Johnston's letter <br /> of February 24, 1995. <br /> (3)"City/County Computer Aided Dispatch Center& System;Public Safety Records Management System; <br /> with Mobile Data Devices"RFP originally dated November 1, 1994 and amended on December 22, 1994. <br /> During the term of this Agreement and for a period of twenty-four(24)months after termination of this Agreement, <br /> the Customer may not offer to hire or in any way employ or compensate any of the employees of HTE-PSI or persons <br /> who have been employed by HTE-PSI within the immediate past twenty-four(24)months without the prior written consent <br /> of HTE-PSI. <br /> Prices quoted above will be honored through November 30, 1995.
