, � , <br /> � Exhibit B <br /> other remedies it may have, shall be entitled to equitable relief to protect such trade secrets, <br /> including without limitation, temporary and permanent injunctive relief without the proving of <br /> damages by Motorola. <br /> 2.1.5 Licensee will take appropriate action, by instruction, agreement or otherwise, with any <br /> persons, including Licensee's Personnel, permitted access to the Program(s), such that Licensee <br /> satisfies its confidentiality obligations under this License Agreement. <br /> 2.1.6 The Licensee shall include all copyright notices, trademark notices, and other proprietary <br /> �egends in accordance with Motorola's instructions on all copies of the Program(s). _ <br /> 2.1.7 Title to the Program(s) and any copies thereof, in whole o� in part, and all rights in <br /> patents, copyrights,trade secrets, and other intellectual properties in such Program(s) are vested <br /> in, and shall remain vested in, Motorola. <br /> 2.1.8 Licensee acknowledges and agrees that the existence of any copyright notice on any <br /> Program shall not be construed as an admission or presumption that public disclosure of trade <br /> secrets, or publication of such Program, has occurred. <br /> 2.1.9 Licensee shall comply with the export regulations of the Office of Export Administration <br /> for the United States Department of Commerce with respect to the Programs. <br /> 2.1.10 tn the event that Licensee desires to sell or otherwise transfer ownership of Motorola <br /> Products including the associated Programs as licensed therewith to a new owner then Licensee <br /> may assign the rights granted herein for such Programs to such new owner (hereinafter °new <br /> owner-assignee°) provided that Licensee transfers all copies of such Programs to such new <br /> owner-assignee, and provided further that the new owner-assignee explicitly agrees in writing to <br /> the terms and conditions of this License Agreement. Any assignment of the rights granted <br /> hereunder shall not be effective until Motorola has received written notification, such written <br /> notification including the name, address, and phone number of the new owner-assignee, together <br /> with the new owner-assignee's written agreement to the terms and conditions of this License <br /> Agreement. Such written notification shall be mailed to Motorola at the following address: <br /> MOTOROLA, INC., LMPS Technical Assets Manager, Room 2305, 1301 East Algonquin Road, <br /> Schaumburg, IL 60196 <br /> For convenience of the Licensee, a suitable form for such notification is attached hereto. <br /> 2.1.11 Motorola reserves the right to assign this License Agreement, encumber or sell any <br /> Program, or subcontract any of its obligations hereunder, either in whole or in part, without notice <br /> to or the consent of Licensee. <br /> 2.1.12 It is further agreed that so long as any uncategorized or Category One, Category Two, <br /> Category Three, or Category Four Programs are licensed to Licensee hereunder, then Motorola <br /> shall not change the category designation as applied to�he Licensee of such Programs, and any <br /> maintenance upgrades to such Programs as provided to the Licensee shall likewise be <br /> considered to be the same category. <br /> Contract No. 95-10192/IL 3 11/14/95 <br />
