� �. r � . <br /> r, <br /> � � 1t . <br /> 4 Developer) , is only permitted upon the prior written approval of the <br /> City, which approval shall not be unreasonably withheld. The City shall <br /> ' � be entitled to require the following regarding any such transfer to any <br /> proposed transferee other than the original Developer partners or their <br /> principals: <br /> a. Any proposed transferee shall have the experience and <br /> financial responsibility necessary to fulfill the obligations undertaken <br /> by the Developer in this Agreement. <br /> b. Any proposed transferees shall have expressly assumed the <br /> obligations of the Developer hereunder in writing. <br /> c. In the absence of specific written agreement by the City, <br /> no transfer shall be deemed to relieve the Developer or any other party <br /> bound in any way by this Agreement or otherwise with respect to the <br /> construction of the Redevelopment Project from any of their obligations <br /> with respect thereto as to the interest transferred. <br /> Notwithstanding any other provision in the Agreement, the <br /> Developer may at any time, without prior City approval, transfer all or <br /> any portion of the Redevelopment Project or this Agreement to a limited <br /> partnership or any other entity in which the Developer maintains control <br /> and ownership of at least 50$ of said interest; provided, that the <br /> Developer shall in any event notify the City of any such transfer of any <br /> such interest (including the beneficial interest under a land trust, and <br /> stock interest in any corporation) . <br /> 6. Amendment. <br /> This Agreement, and any exhibits attached hereto, may be <br /> amended only by the mutual consent of the parties, with, if so <br /> required by law, the adoption of an ordinance or resolution of the <br /> City approving said amendment, and by the execution of said amendment <br /> by the parties or their successors in interest. Except as otherwise <br /> expressly provided herein, this Agreement supersedes all prior <br /> agreements, negotiations and discussions relative to the subject <br /> matter hereof and is a full integration of the agreement of the <br /> parties. <br /> 7 . Miscellaneous. <br /> (a) This Agreement may be executed in duplicate <br /> originals, each of which is deemed to be an original. <br /> (b) If, and to the extent, any provision of this <br /> Agreement is found to be illegal and/or unenforceable by a court of <br /> competent jurisdiction, such provision or provisions shall be severed <br /> from this Agreement and shall not effect the enforceability of any <br /> other provision hereof. <br /> IN WITNESS WHEREOF, this Agreement has been duly authorized and <br /> approved by the Mayor and City Council of the City of Decatur, Macon <br />
