� I � <br /> 4. COMPENSATION <br /> (a) Type <br /> For the professional services provided under this Agreement, City will pay Consultant a lump <br /> sum fee of$39,500.00 (Thirty Nine Thousand, Five Hundred dollars). The fees per Task are as <br /> outlined in Exhibit "A". <br /> (b) Schedule <br /> (i) Payments shall be made by City in installments upon receipt of invoices submitted by the <br /> Consultant on a four (4) week cycle based on the percentage of each Task completed at <br /> r the invoice date. <br /> (ii) City shall pay fees due under this Agreement within thirty days of receiving such bills <br />, from Consultant. Fees remaining unpaid after such time are subject to interest penalties <br /> of 1-1/2% per month. Payment of any fee or reimbursement shall not consiitute a waiver <br /> by the City of any breach of any part of this agreement. <br /> (c) Ceilinq <br /> (i) In no event shall City be liable for paying more than Thirty Nine Thousand, Five Hundred <br /> Dollars ($39,500.00) for ConsultanYs services rendered for this Agreement except as <br /> provided in paragraph 4(c)(ii). <br /> (ii) If it becomes foreseeable that Consultant will need to perform services such that the � <br /> cumulative total of costs to the City will exceed the maximum permitted by this �I <br /> Agreement, any such cost overrun must be approved by the City before the Consultant ' <br /> incurs those costs. If the maximum cost to the City for this Agreement including <br /> allowable change orders, if any, is exceeded unexpectedly, payment shall be made as <br /> mutually agreeable and disputes shall be handled pursuant to this Agreement, but work <br /> shall cease as soon as is reasonably feasible once the cost ceiling plus allowable change <br /> orders, if any, is exceeded. <br /> 5. FUTURE WORK <br /> (a) Consultant agrees to provide the services described in Exhibit "B" for the fees outlined in Exhibit <br /> "C" for a period of three (3) years after execution of this Agreement if such services are desired by <br /> the City. Consultant reserves the right to refuse the work in the event that Consultant's costs to <br /> perform the woric are such that Consultant would incur a loss as a result of supplying the services. <br /> 4 <br />
