. <br /> 4. Subcontracting, assignment, or transfer of all or part of the <br /> interests of the PLANNING AGENCY in the work covered by this <br /> AGREEMENT shall be prohibited without prior written consent of <br /> the DEPARTMENT. In the event the DEPARTMENT gives such consent, <br /> the terms and conditions of this AGREEMENT shall apply to and <br /> bind the party or parties to whom such work is subcontracted, <br /> assigned, or transferred as fully and completely as the PLANNING <br /> AGENCY is hereby bound and obligated. <br /> (a) Where PLANNING AGENCY is providing consultant services, as <br /> defined by 30 ILCS 505/9.04, the names and addresses of all <br /> subcontractors utilized by the PLANNING AGENCY with the <br /> consent of the DEPARTMENT shall be listed in an amendment to <br /> this AGREEMENT together with the anticipated amount of money <br /> which the subcontractor is expected to receive pursuant to <br /> this AGREEMENT. <br /> (b) The PLANNING AGENCY shall not employ any person or persons <br /> employed by the DEPARTMENT at any time during the term of <br /> this AGREEMENT for any work required by the terms of this <br /> AGREEMENT. <br /> 5. This ownership of documents will be in accordance with the <br /> provisions stipulated in APPENDIX D. <br /> 6. The DEPARTMENT may, from time to time, request changes in the <br /> scope of services of the PLANNING AGENCY to be performed <br /> hereunder. Such changes, including revision to the completion <br /> schedule or any increase or decrease in the amount of <br /> compensation, which are mutually agreed upon by and between the <br /> DEPARTMENT and the PLANNING A�ENCY shall be incorporated in <br /> ' written amendment to this AGREEMENT. <br /> 7. The PLANNING AGENCY warrants that he has not employed or • <br /> retained any company or person, other than a bona fide employee <br /> working solely for the PLANNING AGENCY, to solicit or secure <br /> this AGREEMENT, and that he has not paid or agreed to pay any <br /> company or person, other than a bona fide employee working <br /> solely for the PLANNING AGENCY, any fee, commission, percentage, <br /> brokerage fee, gifts or any other consideration contingent upon <br /> or resulting from the award or making of the AGREEMENT. For <br /> breach or violation of this warranty, the DEPARTMENT shall have <br /> the right to annul the AGREEMENT without liability, or in its <br /> discretion, to deduct from compensation otherwise due the <br /> PLANNING AGENCY the commission, percentage, brokerage fee, gift <br /> or contingent fee. <br /> 8. By signing this AGREEMENT, the PLANNING AGENCY certifies that he <br /> has not been convicted of bribery or attempting to bribe an <br /> officer or employee of the State of Illinois, nor has the <br /> PLANNING AGENCY made an admission of guilt of such conduct which <br /> is a matter of record, nor has an official , agent, or employee <br /> of the PLANNING AGENCY committed bribery or attempted bribery on <br /> behalf of the PLANNING AGENCY and pursuant to the direction or <br /> -3- <br />
