Part ' <br /> l8, apply to Projects ���ith governmental bodies. Office and Management Budget (OMB) <br /> Circular A-110, Re��ised, "Uniform Administrative Requirements for Grants and Agreements <br /> „�ith Institutions of Higher Education, Hospitals, and Other Nonprofit Organizations," and any <br /> implementing regulations that U.S. DOT may promulgate, apply to Projects with institutions of <br /> higher education and private nonprofit oTganizations. A Recipient that is a private for-profit <br /> organization agre�s that the terms of OMB Circt��ar A-�110, anci any implernenting DOT <br /> re�ulations, apply to its g�a�ts and cooperative agreements «�ith FTA. <br /> b. A�plication of Federal, State. and Local La�rs and Regulations. <br /> (]) Federa] La�t�s and Regulations. The Recipient understands that Federal la«�s, regulations, <br /> policies, and related administrati��e practices applicable to this Agreement on the date the <br /> Agreement ���as executed may be modified fi-om time to time. The Recipaent agrees that the <br /> most recent �f such Federal requirements �i�iii gai�e�-rc the adriti�is�ration of this Agreemem at <br /> an�� particular time, e�ce�t i�'there is sufficient e��idence in the Agreement of a contrary intent. <br /> Such contrar�� intent mi�ht be e��idenced by express lan�uage in Part I of this Agreement, or a <br /> letter si�ned by the Federal Transit Administrator, the language of���hich modi�es or other���ise <br /> conditions the text of a part�cuxar pr���ision of Part II of this Agreement. Likew�ise, ne��- Federal <br /> la���s, regulations, policies, and administrati��e practices rnay be established after the date the <br /> A�reement has been executed and ma�� apply to this Aereement. To achieve compliance ���ith <br /> chan�in� Federa] requirements, the Recipient agrees to include in all agreements with <br /> subrecipients and third party contracts financed t��ith FTA assistance specific notice that Federal <br /> requirements ma}� change and t�e changed requirements �ti�ill apply to the project as required. <br /> �11 standards or limits set forth in this Agreement to be observed in the performance of the <br /> Project are minimum requirements. <br /> (2) Scate or Territorial La�t� and Local La���. Except to the extent that a Federal statute or <br /> res�ulation preempts State or territorial la���, nothing in the Agreement shall require the Recipient <br /> to obser��e or enforce compliance ��-ith any pro��ision thereof, perform any other act, or do any <br /> other thin� in contra��ention of any applicable State or territorial la���; ho���ever, if any of the <br /> pro��isions of the Agreement ��iolate any applicable State or temtorial law, or if compliance ��•ith <br /> the provisions of the Agreement ���ould require the Recipient to violate any applicable State or <br /> territorial ]a�ti�, the Recipient agrees to notify the Government (FTA) immediately in v�R-iting in <br /> order that the Government and the Recipient may make appropriate arrangements to proceed <br /> ���ith the Project as soon as possible. <br /> c. Funds of the Reci,pient. Except as approved other���ise by FTA, the Recipient agrees to <br /> complete all proceedings necessary to pro��ide the local share of the Project costs at or before the <br /> time that such funds are needed to meet Project expenses. <br /> d. Chan�ed Conditions of Performance (Including Litigation). T'he Recipient agrees to notify <br /> the Go��ernment (FTA) immediately of any change in local la��-, conditions, or any other e��ent <br /> that may significantly affect its ability to perform the Project in accordance „•ith the terms of this <br /> Page 3 <br />
