Any <br /> alternations, amendments, deletions or waivers of the provisions of this <br /> Agreement shall be valid only when expressed in writing and duly si�ned by the <br /> parties. <br /> 14.2. Contractor shall not enter into subcontracts for any services <br /> provided for in this Agreement without the express prior written consent of <br /> the City in each instance. <br /> 14.3. At all times and for all purposes hereunder, Contractor is an <br /> independent contractor and not an a�loyee of the City. No staternent herein <br /> shall be construed so as to find Contractor an e�r�ployee of the City. No <br /> e�riployees of Contractor shal I be �nployees of the C;i ty. <br /> 14.4. Neither party shall assign this Agre�nent, or any interest arising <br /> herein, without the prior written consent of tiie other party. Subject to the <br /> foregoin� sentence, this A�re�nent shall be binding on and inure to the <br /> benefit of the respective successors and assigns of the parties hereto. <br /> 14.5. Any waiver by either party of a breach of any provision of this <br /> Agreement shall not affect in any respect the re�nainder of this Agreement. No <br /> waiver shall be effective unless in writino, duly si�ned by the waiving <br /> party. Delay or inaction shall not be deemed a waiver. <br /> 14.6. Contractor shall indemnify and hold harmless the City, its <br /> officers, officials, anployees and agents, fram and against all claims, <br /> darnages, losses and expenses, including, but not limited to attorneys' fees <br /> and expert witness fees, arising out of or claimed to arise out of the <br /> ne�ligent or intentional act or anission of Contractor, its agents, <br /> representatives and ernployees.
