Contractor, its officers, officials, ��loyees and abents and subcontractors <br /> from and against a11 claims, damages, losses and expenses, including, but not <br /> limited to, attorneys' fees and expert witness fees, arising out of or claimed <br /> to arise out of the negli�ent or intentional act or cxnission of City, its <br /> agents, representatives, �nployees. <br /> 14.7. Contractor, at all times, shall comply with all applicable <br /> federal, state and City laws, ordinances, rules and reoulations relating to <br /> non-discrimination, affirmative action and equal e�loyment opportuni.ties (as <br /> attached in Fxhibit "H"). <br /> (1) That this A�reement may be cancelled or terminated by the City, <br /> and all money due, or to became due under this A�reement shall be <br /> forfeited for a second or any subsequent violation of the tern�s or <br /> conditions of this Subsection 14.7. <br /> 14.8. C;ontractor agrees that no me�nber, of f icer or err�loyee of the Ci ty <br /> shall have any direct or indirect interest in this Agreement or the proceeds <br /> thereof. Violation of this provision shall cause this Agre�nent to be null <br /> and void and Contractor will forfeit any payments to be made under this <br /> Agre�nent. <br /> 14.9. This A�ree�nent shall be controlled by the laws of the State of <br /> Illinois. <br /> 14.10. Fxcept as otherwise expressly provided in this Agree�nent, a <br /> notice, demand, request or other communication required or permitted under <br /> this A�re�nent to be given by either party to the other shall be sufficiently <br /> given and served, and shall be effective and deemed properly given and served, <br /> if, and only if, in writing and, if delivered, when personally delivered to an <br /> 24 <br />
