• 10. Appropriation. Obligations of the State will cease immediately <br /> without penalty of further payment being required if in any fiscal <br /> year the Illinois General Assembly or Federal funding source fails <br /> to appropriate or otherwise make available sufficient funds for this <br /> agreement. <br /> 11 . Termination of Agreement. The DEPARTMENT reserves the right to <br /> terminate this Agreement at any time by giving the CITY thirty (30) <br /> days written notice of such termination. In the event of said <br /> termination, the DEPARTMENT shall be liable only for the services <br /> rendered to the date of the termin i n � <br /> at o based upon fees described <br /> herein. I i <br /> t s understood that all com leted or artiall m <br /> P p y co pleted <br /> drawings, records, computations, reports, and other material the <br /> CITY has collected or m ' <br /> co p�led shall become the exclusive property <br /> of the DEPARTMENT. <br /> 12. han . Changes including revision to the completion schedule, <br /> or any increase or decrease in the total amount of compensation, <br /> which r <br /> a e mutuall a reed u on b and betw n <br /> Y 9 p y ee the DEPARTMENT and the <br /> CITY, and approved by UMTA as appropriate, shall be incorporated by <br /> written amendment to this Agreement. However, changes that do not <br /> involve any increase or decrease in the total amount of the CITY <br />, compensation or does not involve a substantial change as determined <br /> by the DEPARTMENT, in the scope of work described in Appendix I, but <br /> does change specific work elements more than 20X or $2,000 whichever <br /> is greater can be made by the CITY with prior written approval by <br /> the DEPARTMENT. Changes which do not involve any increase or <br /> decrease in the total amount of compensation to the CITY does not <br /> involve substantial change as determined by the DEPARTMENT in the <br /> scope of work as described in Appendix I; and does not change <br /> specific work element funding by more than 20X or $2,000 whichever <br /> is greater, does not require prior approval . <br /> 13. Assignability. The CITY shall not assign any interest in this <br /> Agreement. <br /> 14. Interest of CITY. The CITY covenants that it presently has no <br /> interest, shall not acquire any interest, direct or indirect, which <br /> would conflict in any manner or degree with the performance of ', <br /> services required to be performed under this Agreement. ' <br /> 15. Publication Provisions. ' <br /> A. nrl '�, <br /> 1 . Copvright. The CITY shall be free to copyright material <br /> developed under the agreement with the provision that � <br /> the DEPARTMENT and Urban Mass Transportation I <br /> Administration reserve a royalty-free, non-exclusive and ' <br /> irrevocable license to reproduce, publish, or otherwise �� <br /> use, and to authorize others to use, the work for <br /> Government purposes. <br /> -5- <br />
