Payment will be made in two lump-sum amounts , <br /> the first payment being $9 , 000 . 00 and the final payment <br /> being $3 , 000 . 00 . Each lump-sum payment will only be made if <br /> the requirements outlined in items 7 and 9 are met . <br /> 9 . Soules agrees that the City will not be required to pay <br /> the first installment provided for in paragraph 9 hereof if <br /> the bird population, as established by the provisions of <br /> paragraph 7 hereof , has not been reduced by 95� by September <br /> O1 , 1991 . Soules further agrees that the City will not be <br /> required to pay said second installment if such conditions <br /> regarding bird population and neighborhood survey are not <br />' met prior to June 4 , 1992 . <br /> 10 . Soules agrees to furnish the City with proof of State <br /> of Illinois Department of Public Health license , permit , <br /> certification and registration for bird removal for the <br /> duration of the agreement . <br /> 11 . Soules agrees to notify the Decatur Police Department <br /> (on-duty shift commander) of the times when Soules will be <br /> performing bird removal in the Packard Street Bird Removal <br /> area . <br /> 12 . Soules further agrees to indemnify and hold harmless <br /> the City for and from any and all claims , actions or causes <br /> of actions which may accrue on account of or in any way grow <br /> out of Soules ' performance of the duties under the provi- <br /> sions hereof . Soules shall submit to the City a completed <br /> Certificate of Insurance showing the City as an additional <br /> named insured with the following minimum coverage . <br /> A. Workman ' s Compensation and Occupational <br /> Disease as required by law. <br /> B .
