� ITEM 6 - ETHICS <br /> The Grantee shall maintain a written code or standard <br /> of conduc t which shall govern the performance of its <br /> officers, employees or agents engaged in the award and <br /> a�ninistration of contracts supported by federal or State <br /> funds. Such code shall provide that no empl oyee, officer or <br /> agent of the Grantee shall participate in the selec tion, or <br /> in the award or administration of a contract supported by <br /> federal or State funds if a conflict of interest, real or <br /> apparent would be involved. Such a conflict would arise <br /> when any of the parties set forth below has a financial or <br /> other interest in the firm selected for award: <br /> 1 , the employee, officer or agent; <br /> 2, any member of his immediate family; <br /> 3, his or her partner; or <br /> 4, an organization whi ch empl oys, or is about to empl oy, <br /> any of the above. <br /> The code shall also provide that the Grantee's <br /> officers, employees or agents shall neither solicit nor <br /> accept gratuities , favors or anything of monetary value from <br /> contractors, potential contractors, or parties to <br /> sub-agreements. <br /> ITEM 7 - PROHIBITED INTERESTS <br /> Neither the Grantee nor any of its contractors or <br /> their subcontrac tors shall enter into any contrac t, <br /> subcontract, or arrangement in connection with the Project <br /> or any property included or planned to be included in the <br /> Project, in which any member, officer, or employee of the <br /> Grantee or the locality in which the Grantee operates during <br /> hi s tenure of offi ce or one year thereafter, has any <br /> interest direct or indirect. If any such present or former <br /> member, officer or employee involuntarily acquires or had <br /> acquired prior to the beginning of his tenure any such <br /> interest, and if such interest is immediately disclosed to <br /> the Grantee and such di sclosure is entered upon the minutes <br /> of the Grantee, the Grantee, with the prior approval of the <br /> Department, may waive the prohibition contained in this <br /> subsec tion: provided, that any such present member, officer <br /> or employee shall not participate in any action by the <br /> Grantee or �e locality relating to such contract, <br /> subcontract, or arrangement. <br /> The parties hereto agree that the Agreement dated April 16, <br /> 1987 between the Parties is in all other respects ratified and <br /> reaffirmed and that it continues in full force and effect as <br /> hereby amended. <br />
