, . , � <br /> and related administrative practices in force and made applicable <br /> to this Agreement on the date of execution may be modified from <br /> time to time, and that the most recent of such provisions will <br /> govern administration of this Agreement at any particular time, <br /> except if there is sufficient evidence in the Agreement of a <br /> contrary intent. Such contrary intent might be evidenced by <br /> express language in the Notification of Grant or Assistance <br /> Approval or Part I of this Agreement, which language modifies or <br /> _ otherwise conditions the language of a particular provision of <br /> Part II of this Agreement. Likewise, new Federal laws, <br /> ' regulations, policies and administrative practices may be <br /> . established after the date of execution and thereafter be applied <br /> to this Agreement. As may be necessary to achieve compliance with <br /> ' these requirements, the Recipient shall include notice of such <br /> requirements in all third party contracts, sub-grants, and other <br /> sub-assistance agreements financed with Government (UMTA) <br /> assistance. All limits or standards set forth in this Agreement <br /> to be observed in the performance of the Project are minimum <br /> requirements. If there is a conflict between Federal and State or <br /> local requirements, the Recipient shall inform the Government <br /> (UMTA) in order than an appropriate resolution may be arranged. <br /> c. Funds of the Recipient. The Recipient shall initiate and <br /> prosecute to completion all proceedings necessary to enable the <br /> Recipient to provide its share of the Project costs at or prior to <br /> the time that such funds are needed to meet Project expenses. <br /> d. Submission of Proceedings, Contracts and Other pocuments. The <br /> Recipient shall submit to the Government such data, reports, <br /> records, contracts, and other documents relating to the Project as <br /> the Government may, during the course of the Project and for three <br /> years thereafter, require. The Recipient shall retain intact, for <br /> three years following Project close-out, all Project documents, <br /> financial records, and supporting documents and make these records <br /> available to the Government as the Government may require. <br /> Reporting and record-keeping requirements (1) for governmental <br /> recipients are set forth in 49 C.F.R. Part 18, and (2) for <br /> non-governmental recipients are set forth in OMB Circular A-110. <br /> Project closeout does not alter these requirements. <br /> e. Chanqed Conditions of Performance (Includina Litiqation) . The <br /> Recipient shall immediately notify the Government (UMTA) of any <br /> change in local law, conditions, or any other event that may <br /> significantly affect its ability to perform the Project in <br /> accordance with the terms of this Agreement. In addition, the <br /> Recipient shall immediately notify the Government (UMTA) of any <br /> decision pertaining to the Recipient's conduct of litigation that <br /> may affect the Government's interests in the Project or the <br /> Government's administration or enforcement of applicable Federal <br /> laws or regulations. Before the Recipient may join the Government <br /> as a named party to litigation, for any reason, the Recipient <br /> agrees to first inform the Government; this proviso applies to any <br /> type of litigation whatsoever, in any forum. <br /> Page 3 <br />
