12. 2 Nefther Provider nor Carle Clinic hae, nor shall have, any <br /> express or implied rights or authority to aesume or create any obligation or <br /> responeibility on behalf of, or in the name of the other, unlese such <br /> obligation or responsibility is mutually agreed to by the Parties and ia <br /> evidenced by en emendment in vriting to tnis Agreement signed by each Party. <br /> SECTION XIII - TERM AHD TERMINATION OF AGREEKENT <br /> 13. 1 The term of this Agreement ehall be from Hovember 1, <br /> 1989, to and including October 31, 1990, and may be renewed thereafter only <br /> upon the exprese rritten consent of each of the undereigned Parties. <br /> 13.2 Thie Agree�ent �ay be terninated at any time rithout notice <br /> upon the express rritten consent of each of the Parties to thie Agreement. <br /> 13.3 Thie Agreement �ay be terminated by a Party "for cause" by <br /> giving thirty (30) days notice to the other Party in rriting of such <br /> intention to terminate this Agreement. For purposes of this Paragraph, <br /> "termination for cauae" is defined as terminetion for an intentional or <br /> villful violation of any of the provieions of thie Agreement by a Party or <br /> for failure to abide by all applicable state and federal lars and <br /> regulations that pertain to them. The Party seeking to terminate this <br /> Agreement •for cause" must specify in vriting to the other Party the nature <br /> of the 'cause" resulting in the termination. <br /> 13.4 Thie Agreement may be terminated "vithout cause" by sny <br /> Party giving the other Perty et leaet ninety t90! days notice in vriting of <br /> the intended termination date. <br /> -9- <br />
