and all suits c mand e ense st ' d m t I <br /> , auses of action, claima, de s, xp s. co s, �u g en <br /> and interest arising out of the actione of Carle Clinic staff in aseessing <br /> Patients or planning for delivery of Demonstration Services to them. <br /> SECTION XI - KON-LIABILITY <br /> 11. 1 Provider ehall in no event, including, but not limited to <br /> nonpayment by Carle Clinic, Carle Clinic ineolvency or breach of this <br /> Agreement, bill, charge, collect a deposit from, seek compensation, <br /> remuneration or reimbursement from, or have any recourse against any <br /> persone, other than Carle Clinic, acting on the Patient's behalf for <br /> services provided pursuant to this Agreement. <br /> 11.2 The provisione of thie Section XI shall survive the <br /> terminetion of this Agreea�ent regardless of the cause giving rise to <br /> termination and shall be construed to be for the benefit of the Patient. <br /> This provision supersedes any oral or rritten contrary agreea�ent nov <br /> existfng or hereafter entered into betreen Provider and Patient or pereons <br /> acting on Patient's behalf. <br /> SECTION XII - LEGAL RELATIOHSHIP BETWEEN PARTIES <br /> 12. 1 Notrithstanding any other provision or provisions of this <br /> Agreement, each Perty is acting independently of the other and the <br /> provieions of thie Agreement shall not be construed ae meaning that any of <br /> the Parties hereto are acting as the agents or employees of any other Party <br /> hereto but, in fact, each Party recognizes that it is acting in the capacity <br /> of an independent contrector concerning the provieions of Demonetration <br /> Services to Patient. <br /> -8- <br />
